Welcome to Omada

These Terms of Use (the “Terms”) cover your access to and use of our Services. For purposes of these Terms, our “Services” include:

  • Omada’s digitally based health care programs (the “Omada Programs”);*
  • Omada’s mobile applications (the “Apps”);*
  • the websites that Omada operates (including omadahealth.com and www.omadahealth.com) (the “Sites”); and
  • all related services and features that Omada provides.

In addition, the Privacy Policy and the Notice of HIPAA Privacy Practices describe how we collect, use, and disclose personal information from you. Each of the Privacy Policy and the HIPAA Notice of Privacy Practices form a part of these Terms, and we refer to all three documents as the “Agreements.” Please read each of the Agreements carefully as they contain important information about your legal rights. By accessing or using the Services, you agree to be bound by each of these Agreements.

*Please note that, despite the description above, the Omada Mind program and the corresponding mobile application are not covered by these Terms but rather by separate terms of use and a separate privacy policy available in the Omada Mind app.

These Agreements constitute a binding legal agreement between you and Omada Health, Inc. and its affiliates and subsidiaries (“Omada,” “we,” or “us”). If you are accessing or using the Services because you have been authorized to help another person do so, these Agreements constitute a legally binding agreement between Omada and both the helper and the person being helped. You represent and warrant that you have the right, authority, and capacity to enter into these Agreements.

IF YOU ARE NOT WILLING TO BE OR CANNOT BE BOUND BY THESE AGREEMENTS, THEN YOU MAY NOT ACCESS OR USE THE SERVICES. IN ADDITION, IF YOU DO NOT CONSENT TO THE COLLECTION, USE, AND DISCLOSURE OF YOUR PERSONAL INFORMATION, INCLUDING HEALTH-RELATED INFORMATION, AS DESCRIBED IN THESE AGREEMENTS, YOU SHOULD NOT ACCESS OR USE THE SERVICES. WE DO NOT AND WILL NOT GRANT YOU ANY RIGHT OR LICENSE TO ACCESS OR USE THE SERVICES UNLESS YOU ARE WILLING AND ABLE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS IN THESE AGREEMENTS.

We may change or replace any terms of these Agreements prospectively at any time and for any reason at our discretion. We will post the most recent version of these Agreements on our Sites and in the Apps, and any changes to these Agreements will become effective when posted. You are responsible for checking these Agreements periodically for changes. If we change or replace any terms of these Agreements in a manner that meaningfully reduces your rights, we will notify you and designate a reasonable time period before the new terms will take effect. By continuing to use or access the Services after any changes come into effect, you agree to be bound by the updated Agreements. If you disagree with any changes, you should stop using the Services.

If you accept these Agreements but later decide that you want to terminate your account, please contact Customer Support at support@omadahealth.com, and we will verify and complete your request.

For purposes of these Terms, “Omada Parties” means Omada and its affiliates, and each of their directors, officers, employees, agents, affiliates, representatives, service providers, suppliers, partners, sublicensees, successors, and assigns.

  1. Our Services

Our Services include the Omada Programs, the Apps, the Sites, and all related services and features provided by us.

As part of the Services, we offer the Omada Programs, which are digitally based health care programs for people at risk for or living with certain health conditions. We offer the Omada Programs to certain individuals that meet the condition-specific clinical criteria that we have established for enrollment. We deliver the Omada Programs through the Apps and our Sites.

Our Services may include, without limitation:

●      Access to information, text, graphics, photos, resources, or other materials appearing in the Omada Programs, in the Apps, on the Sites, or in any aspect of the Services (the “Content”), including educational Content relevant to your health goals;

●      The ability to create, upload, transmit, display, and access User Submissions (as described in the section entitled “Types of User Submissions” below);

●      The ability to interact with our relevant personnel, including our support teams and, for the Omada Programs, our health coaches (“Health Coaches”);

●      For certain of the Omada Programs, the ability to participate in an online community and to interact with other users of our Services in connection with your health goals;

●      The ability to request your health information to share with other healthcare providers, friends, or family so that they can understand how you use the Omada Program(s); and

●      Access to other information about us and our products and services through the Sites and any other features, content, or applications that we may offer from time to time.

We make certain of these features available only to users who register for Omada Program(s) and only for the duration of their access to and use of Omada Program(s).

The Omada Programs and the Apps are available only to individuals who:

  • are at least 18 years old;
  • reside in the United States of America or any its territories;
  • meet the condition-specific clinical criteria that we have established for enrollment; and
  • complete the registration process that we prescribe.

To enroll in an Omada Program or use an App, you must register as more fully described below in the section entitled “Registration.” By accessing or using an Omada Program or an App, you represent that you are at least 18 years old.

We may, in our sole discretion, refuse to offer the Services to any person or entity. We may also change the criteria used to determine clinical eligibility for one or more Omada Programs at any time for any reason. This provision is void in jurisdictions where it is prohibited by law, and accordingly, we revoke the right to access the Services in those jurisdictions.

We reserve the right to change, replace, suspend, or discontinue the Services or any component of the Services (including, without limitation, any feature, specification, database, or content) at any time and for any reason at our discretion. We will not be liable to you for any change, replacement, suspension, or discontinuation of your rights to access or use the Services. We may also impose limitations on certain features or parts of the Services or restrict your access to part or all of the Services without notice or liability.

  1. Limitations regarding Medicine and Medical Treatment

THE SERVICES ENABLE USERS TO ACCESS THE CONTENT AND TO INTERACT WITH OUR HEALTH COACHES AND SUPPORT TEAMS. IN CERTAIN INSTANCES, HEALTH COACHES WITH PROFESSIONAL LICENSES IN RELEVANT CLINICAL AREAS MAY DELIVER TO YOU ASPECTS OF THE OMADA PROGRAMS THAT REQUIRE SUCH A LICENSE UNDER APPLICABLE LAW (“LICENSED SERVICES”).

ASIDE FROM THOSE ASPECTS OF THE OMADA PROGRAMS THAT ARE LICENSED SERVICES, WE DO NOT PROVIDE ANY MEDICAL ADVICE OR MEDICAL TREATMENT. THE CONTENT AND ANY INFORMATION PROVIDED BY OUR PERSONNEL OTHER THAN THE LICENSED SERVICES ARE FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE USED FOR THE DIAGNOSIS OR TREATMENT OF ANY MEDICAL CONDITION.

ALWAYS SEEK THE ADVICE OF YOUR PHYSICIAN OR OTHER QUALIFIED HEALTH PROVIDERS BEFORE DECIDING TO START, ALTER, OR DISCONTINUE ANY COURSE OF MEDICAL TREATMENT OR FOR ANY QUESTIONS REGARDING YOUR MEDICAL CONDITION, YOUR DIET, OR THE USE (OR FREQUENCY) OF ANY MEDICATION OR MEDICAL DEVICE. DO NOT USE THE SERVICES AS A SUBSTITUTE FOR CONSULTING WITH YOUR PHYSICIAN OR OTHER HEALTH CARE PROVIDER, AND DO NOT DISREGARD PROFESSIONAL MEDICAL ADVICE OR DELAY IN SEEKING IT BECAUSE OF ANY INFORMATION RECEIVED IN CONNECTION WITH OUR SERVICES.

TO THE EXTENT THAT, IN ADDITION TO THE SERVICES YOU RECEIVE FROM US, YOU ALSO RECEIVE MEDICAL CARE FROM ANOTHER PARTY, THAT MEDICAL CARE IS SEPARATE FROM AND UNRELATED TO THE SERVICES PROVIDED BY US. YOUR TREATING MEDICAL PROFESSIONAL IS RESPONSIBLE FOR OBTAINING YOUR INFORMED CONSENT TO ANY MEDICAL DIAGNOSIS OR TREATMENT IN CONNECTION WITH THAT MEDICAL CARE, INCLUDING WITHOUT LIMITATION, ANY LEGALLY REQUIRED CONSENT TO USE TELEMEDICINE. WE ARE NOT RESPONSIBLE OR LIABLE FOR ANY ADVICE, COURSE OF TREATMENT, DIAGNOSIS, OR ANY OTHER INFORMATION, SERVICES, OR PRODUCTS THAT YOU MAY OBTAIN FROM UNAFFILIATED THIRD PARTIES IN CONNECTION WITH OR AS A RESULT OF USING THE SERVICES.

  1. No Emergency Services

THE SERVICES ARE FOR NON-EMERGENCY PURPOSES ONLY. WE DO NOT CARRY EMERGENCY OR TIME-CRITICAL COMMUNICATIONS TO ANY TYPE OF HOSPITAL, LAW ENFORCEMENT AGENCY, OR ANY OTHER KIND OF EMERGENCY OR TIME-CRITICAL SERVICE. THE SERVICES DO NOT REPLACE 911, YOUR PERSONAL HEALTH CARE PROVIDERS, ADVICE NURSES, OR OTHER EMERGENCY ASSISTANCE. DO NOT ATTEMPT TO ACCESS EMERGENCY CARE THROUGH THE SERVICES OR RELY ON THE SERVICES IN ANY WAY FOR EMERGENCY ASSISTANCE. IF AT ANY TIME YOU ARE CONCERNED ABOUT YOUR CARE OR TREATMENT, OR IF YOU THINK YOU HAVE A MEDICAL EMERGENCY, CALL 911 OR GO TO THE NEAREST OPEN EMERGENCY ROOM IMMEDIATELY.

If we become aware of or contemplate an emergency, we may secure from any hospital, physician, and/or medical personnel (“Emergency Responders”) any emergency treatment that we deem necessary for your immediate care in our sole discretion. You understand and agree that, if we take any action to secure Emergency Responders on your behalf, you, and not we, will be solely responsible for payment of all medical services rendered in connection with that treatment.

  1. Downloading the Apps from App Providers

In order to access and use any of the Apps, you must download it from a digital distribution platform, such as the Apple App Store or Google Play (the “App Provider”). Even though you must download the App from the App Provider, these Agreements are between you and us (and not the App Provider). The App Provider has no obligation to furnish any maintenance or support services regarding the Apps. The App Provider also is not responsible for addressing any claims (from you or from any third parties) that relate to any of the Apps or that relate to your possession or use of the Apps, including but not limited to any claims that relate to product liability, claims that an App does not comply with applicable legal or regulatory requirements, and claims arising under consumer protection laws or similar legislation. If a third party claims that one of the Apps or your possession or use of that App infringes that third party’s intellectual property rights, we (and not the App Provider) will be responsible for the investigation, defense, settlement, and discharge of that claim to the extent required by these Agreements. Even though these Agreements are between you and us, you must also comply with any other applicable terms of service from the App Provider or other applicable third parties when you access or use the Services.

  1. Registration

As a condition to enrolling in an Omada Program, you will be required to register with us. You represent and warrant that all information that you submit to us is complete, accurate, and truthful. If you allow a third party to assist you in providing any information to us, including in registering or applying for an Omada Program, you represent and warrant that you have reviewed that information and confirmed that it is complete, accurate, and truthful prior to its submission. You also agree to maintain the information that you submit to us (or that any third party submits on your behalf) and to update it promptly for any changes. Failure to keep your information current will constitute a breach of these Agreements, which may result in immediate termination of your account.

In registering for any Omada Program, you will select a screen name (“User ID”). You are solely responsible for choosing your User ID, and you agree not to select or use as your User ID (a) the name of another person with the intent to impersonate that person, (b) a name that is subject to any rights of another person without appropriate authorization, or (c) any name that is otherwise offensive, vulgar, or obscene. We reserve the right to refuse registration of any User ID or to cancel any User ID in our sole discretion. In addition, you agree never to use another user’s account without that user’s express permission.

In registering for any Program, you also will set an account password. You are solely responsible for setting your password and for maintaining its confidentiality. You also are solely responsible for all activity that occurs on your account. You agree not to share your password with any person, not to permit any person to have access to your password, and not to otherwise facilitate the use of your User ID and password by any other person. You agree to notify us in writing immediately of any unauthorized use of your password or account or any other security breach of which you become aware.

  1. Consent to Receive Email and Phone Communications

As a condition to accessing or using the Omada Programs, the Apps, and certain other aspects of the Services, you must provide us with your email address and phone number. By participating in the Services, you agree and consent to our communicating with you via email, SMS messages, voice calls, push notifications, and other electronic communications that relate to the Services. Emails that we send to you may be unencrypted and may contain personal information, including protected health information, and you agree that we may send these emails to you unless you choose to unsubscribe from emails at any time. As part of using the Services, you agree to receive all agreements, notices, disclosures, and other communications that we provide to you in electronic form, including all communications that we are required by law or these Agreements to provide to you. You also acknowledge that receipt of these communications in electronic form satisfies any legal requirement that the communications be in writing. Your consent to receive electronic notices, disclosures, and other communications applies to any notice or other information that we provide in connection with your application, registration, or enrollment in an Omada Program and all communications relating to your access to and use of the Services. 

  1. Your Systems and Connections to the Services

You are responsible for obtaining, installing, operating, and maintaining all software, hardware, or other equipment (collectively, “Systems”) that may be necessary for you to access and use the Services and any internet and/or wireless services via the providers of your choice (the “Connections”). This responsibility includes, without limitation, utilizing current versions of web-browsers and appropriate encryption, antivirus, anti-spyware, and internet security software. By accessing or using the Services, you demonstrate and agree that you can access information that we post electronically and receive electronic communications from us.

In connection with your access to and use of the Services, you understand and agree that:

  • You are responsible for the data security of the Systems that you use (or any third party on your behalf uses) to access the Services and for the transmission and receipt of information using those Systems;
  • Using open networks such as the Connections is associated with certain security, corruption, transmission error, and access-availability risks, and you expressly assume those risks;
  • You have made your own independent assessment of the adequacy of the Systems and the Connections and are satisfied with that assessment; and
  • We are not responsible for any errors or problems that arise from the malfunction or failure of the Systems or the Connections.

Communication lines used to transmit emails and text messages do not have the same security features that are built into the Services. By accessing or using the Services, you acknowledge that we are unable to ensure the security of information you send to us through your Systems or Connections until that information reaches us, and you acknowledge that information sent via email or text message or otherwise through your Systems or Connections may not be encrypted or secure.

WE ASSUME NO LIABILITY FOR OR RELATING TO THE DELAY, INTERRUPTION, FAILURE, CORRUPTION OF, UNINTENDED ACCESS TO, OR DISCLOSURE OF ANY INFORMATION THAT YOU OR YOUR AGENTS TRANSMIT TO US UNTIL THAT INFORMATION REACHES US. IN ADDITION, BY AGREEING TO RECEIVE EMAILS, TEXT MESSAGES, PUSH NOTIFICATIONS, OR OTHER ELECTRONIC COMMUNICATIONS FROM US, YOU AGREE TO ACCEPT ANY RISK AND DAMAGE ARISING FROM THE DISCLOSURE OF THOSE COMMUNICATIONS IN TRANSMISSION.

  1. Types of User Submissions

Submissions from You

In connection with your use of the Services, we may receive or collect User Submissions from you. For purposes of these Terms, “User Submissions” means any content, personal information (including without limitation, your name, contact information, activity tracking, food tracking, sleep tracking, biometric information, health readings, and other personally identifiable information or personal health information), videos, audio clips, written comments, data, text, photographs, software, scripts, graphics, works of authorship, or other information, in each case, where supplied by or collected from a user of the Services, including any feedback or suggestions for improvements, enhancements, or error corrections (“User Submissions”).

Data Provided by Omada-Supplied Devices

In connection with your participation in an Omada Program, we may provide you with digital equipment that assists you in monitoring your health or fitness and supplies that information automatically to us and the applicable Omada Program (“Omada-Supplied Devices”). Omada-Supplied Devices are pre-configured to supply information to us and will share information about you and your health without requiring additional authorizations from you. Information that we receive from your Omada-Supplied Devices will be considered your User Submissions.

Data Provided by You through Third-Party Data Sources

We also may receive information about you from third parties who have received your information because you subscribe to or otherwise participate in their services or because you use their digital equipment (“Third-Party Data Sources”).

For example, we may receive data from digital equipment, such as blood glucose monitors,  blood pressure monitors, or activity trackers, that you already possess or that you later acquire on your own and not from us (“Third-Party Health Devices”). If you supply information from Third-Party Health Devices to us by manually entering that information through the Apps or the Sites, that information will be considered information from you and a User Submission. If you enable one or more Third-Party Health Devices to supply information to us automatically, that information will be considered information from you delivered through your Third-Party Data Sources and will also be a User Submission.

In addition to Third-Party Health Devices, Third-Party Data Sources may include other third-party sources of data, such as Apple HealthKit. When you authorize these Third-Party Data Sources to supply information to us, that information will be considered information from you delivered through your Third-Party Data Sources and will also be a User Submission.

  1. Terms for Third-Party Providers

The Services may allow you to display, use, include, or make available other content, data, information, applications, services, or materials from third parties (“Third-Party Offerings”). For purposes of these Terms, your Third-Party Health Devices and other Third-Party Data Sources will be considered Third-Party Offerings. In addition, for purposes of these Terms, any entities that offer or make available Third-Party Offerings, as well as any agents or intermediaries that those entities may employ, will be considered “Third-Party Providers.”

When you use any Third-Party Offerings or interact with Third-Party Providers, YOU DO SO AT YOUR OWN RISK. To the extent that you may authorize us to link directly to any Third-Party Offerings or any Third-Party Provider, we do so solely for your convenience. To the extent that the Services contain links to third-party sites, when you access those links, you do so at your own risk. Our inclusion of any links to Third-Party Offerings or any other content from Third-Party Providers in the Services does not imply any endorsement or recommendation by us or any association with the Third-Party Providers. None of the Third-Party Offerings or Third-Party Providers are under our control. To the extent a Third-Party Provider supplies you with devices or services that are regulated by applicable law for safety, efficacy, or otherwise, we are not responsible for any failure or those supplies or devices to comply with those regulations.

We are not responsible for the manner in which Third-Party Offerings and Third-Party Providers collect, safekeep, access, or use information that you supply to them or that we supply to them at your request or instruction. You are solely responsible for reading and understanding the terms of use and privacy policies or each Third-Party Offering and Third-Party Provider before using or interacting with them. If you do not understand or do not agree to the terms of use or privacy policies of any Third-Party Offering or Third-Party Provider, you should not use or interact with those offerings or providers.

WE HEREBY DISCLAIM ALL RESPONSIBILITY AND LIABILITY FOR THE COLLECTION AND USE BY ANY THIRD-PARTY OFFERINGS OR THIRD-PARTY PROVIDERS OF ANY INFORMATION THAT YOU SUPPLY TO THEM OR THAT WE SUPPLY TO THEM AT YOUR REQUEST OR INSTRUCTION, AS WELL AS THE AVAILABILITY, PERFORMANCE,  TECHNICAL FAILURES, CONTENT, ACCURACY, EFFICACY, APPROPRIATENESS, SAFETY, LEGALITY, OR SECURITY OF THIRD-PARTY OFFERINGS AND THIRD-PARTY PROVIDERS OR ANY OTHER ASPECT OF THEIR FUNCTIONING OR INTERACTIONS. YOU AGREE TO ASSUME ALL RESPONSIBILITY AND LIABILITY FOR ANY DAMAGES, LOSS, OR OTHER HARM, WHETHER TO YOU OR TO THIRD PARTIES, THAT RESULTS FROM OR IS ALLEGED TO HAVE RESULTED FROM YOUR USE OF THIRD-PARTY OFFERINGS AND THIRD-PARTY PROVIDERS.

  1. Additional Terms for Omada-Supplied Devices

In connection with your participation in an Omada Program, we may provide you with Omada-Supplied Devices. The device manufacturers of some Omada-Supplied Devices have agreed that those devices will not ask you to read or consent to the device manufacturer’s terms of service, privacy policy, or other user agreements (the “Manufacturer User Agreements”) or prevent you from connecting your Omada-Supplied Device to the Services without first consenting to those agreements. The manufacturers of some Omada-Supplied Devices (the “Devices with Additional Terms”) may ask you to read and consent to the Manufacturer User Agreements when you first activate the device and may prevent you from connecting your Devices with Additional Terms without first consenting to the Manufacturer User Agreements. The manufacturers of Devices with Additional Terms have agreed that, while you are a participant in the Services, the Manufacturer User Agreements will not apply to your use of the Devices with Additional Terms to the extent that they conflict with these Agreements. The manufacturers of Devices with Additional Terms also have agreed that, while you are enrolled in the applicable Omada Program, only Omada’s Privacy Policy and Notice of HIPAA Privacy Practices and not the manufacturer’s privacy policy will apply to your use of the Devices with Additional Terms. If you continue to use any Device with Additional Terms after you terminate your account with us or after you are otherwise disenrolled or terminated from the Omada Program applicable to that device, the Manufacturer User Agreements will apply in full to your use of that Device with Additional Terms from that point forward.

  1. Rights to and Responsibilities for User Submissions

You retain all ownership or license rights that you possess in your User Submissions, provided, that you grant the licenses to use the User Submissions described below to the Omada Parties and to other users. You represent and warrant to us that you own all rights, title, and interest in and to your User Submissions or are otherwise authorized to grant the licenses described in these Agreements. You also represent that granting these licenses will not violate any law or infringe upon or violate the rights of any person or entity.

You consent and grant to the Omada Parties a perpetual, irrevocable, non-exclusive, transferable, sublicensable, royalty-free, fully paid, worldwide right and license to use, license, modify, reproduce, adapt, publish, translate, transmit, edit, distribute, perform, display, communicate publicly, create derivative works of, and otherwise use any User Submissions and incorporate any User Submissions in other works in any form, media, or technology, in each case, subject to these Terms, our Privacy Policy, and our Notice of HIPAA Privacy Practices. You also consent to and permit any other user of the Services to access, display, view, store, and reproduce any User Submissions that you make available to any group within the Services or to the public for his or her personal use without compensation.

If all or a portion of a User Submission constitutes protected health information or personally identifiable information as described in our Privacy Policy and our Notice of HIPAA Privacy Practices, we will treat it as such. However, under the license you grant pursuant to these Terms, we reserve the right to remove personal identifiers from any and all User Submissions and, once de-identified or otherwise rendered no longer attributable to you without additional information (including in any manner prescribed by law), the remaining information (“De-Identified Data”) will not be subject to any obligation of confidentiality on our part. You understand and agree that we own all right, title, and interest in and to any De-identified Data. You also understand and agree that De-identified Data may be used for any lawful business purpose without any duty of accounting to you. For example, once de-identified, we may use De-Identified Data from User Submissions in our publications, in sales and marketing materials, and for product research and development.

By providing you with the ability to post and use User Submissions, we do not undertake any obligation or liability relating to those User Submissions, the User Submissions of others, or any related activities. We do not endorse any User Submissions. You acknowledge that all User Submissions submitted, uploaded, posted, transmitted, or displayed are the sole responsibility of the person who made those User Submissions and that you are entirely responsible for all of your User Submissions. YOU WILL BE SOLELY RESPONSIBLE FOR ANY VIOLATIONS OF LAWS AND FOR ANY INFRINGEMENTS OF THIRD-PARTY RIGHTS CAUSED BY YOUR USER SUBMISSIONS.

We do not control User Submissions from other users. Accordingly, we do not guarantee the authenticity, accuracy, integrity, or quality of any User Submissions. WE DO NOT REPRESENT, WARRANT, OR GUARANTEE THE CURRENCY OR ACCURACY OF ANY INFORMATION PROVIDED BY OR ON BEHALF OF ANY USER, AND WE HEREBY DISCLAIM ALL RESPONSIBILITY AND LIABILITY FOR ANY INFORMATION PROVIDED BY OR ON BEHALF OF USERS IN CONNECTION WITH THEIR USE OF THE SERVICES.

You understand and agree that, in accessing or using the Services, you may be exposed to User Submissions that are offensive or objectionable. Although we reserve the right to do so, we have no obligation to monitor the Services or any User Submissions. WE DISCLAIM ANY ACTUAL OR IMPLIED DUTY TO MONITOR USER SUBMISSIONS AND SPECIFICALLY DISCLAIM ANY RESPONSIBILITY OR LIABILITY FOR ANY USER SUBMISSIONS OR FOR THE QUALITY OR ACCURACY OF OTHER INFORMATION USERS PROVIDE THROUGH USING THE SERVICES.

  1. Acceptable Use of the Services

We provide the Services only for your own personal, non-commercial, limited use in accordance with these Agreements. You are responsible for all of your use of the Services. As a condition to accessing or using the Services, you agree to abide by all applicable local, state, and federal laws, rules, and regulations in accessing and using the Services at all times, and you agree not to use the Services for any purpose that is prohibited by these Agreements.

Violating the Rights of Others and Abusing or Deceiving Others

In accessing and using the Services, you agree not to take (or permit any third party to take) any action that:

  • is threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another’s privacy, tortious, unlawful, obscene, offensive, or profane;
  • promotes bigotry, racism, misogyny, or ethnic or religious hatred;
  • infringes any patent, trademark, trade secret, copyright, right of publicity, or other right of any other person or entity;
  • constitutes unauthorized or unsolicited advertising, junk email, bulk email, or other spamming;
  • involves commercial activities and/or sales that we have not authorized, such as contests, sweepstakes, lotteries, giveaways, barters, advertisements, gifting clubs, chain letters, pyramid schemes, or other fraudulent schemes; or
  • impersonates any person or entity, including any of our employees or representatives, or misuses another person’s contact or account information.

Abusing and Disrupting the Services

In accessing and using the Services, you also agree not to take (or permit any third party to take) any action that:

  • interferes or attempts to interfere with the proper working of the Services or any activities conducted on or as a part of the Services;
  • circumvents or attempts to circumvent any technological measure implemented by us or any other third party (including another user) to protect or restrict access to any aspect of the Services, computer systems or networks, accounts, or submissions from other users or third parties;
  • transmits or introduces software viruses or any other computer codes, files, or programs that are designed or intended to disrupt, damage, limit, or interfere with the proper function of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any system, data, password, or other information of ours or any third party;
  • deciphers, decompiles, disassembles, reverse engineers or otherwise attempts to derive any source code or underlying ideas or algorithms of any part of the Service, except to the limited extent applicable laws specifically prohibit such restriction;
  • modifies, translates, or otherwise creates derivative works of any part of the Services;
  • copies, rents, leases, distributes, or otherwise transfers any or all of the rights that you receive pursuant to these Agreements;
  • imposes or may impose an unreasonable or disproportionately large load on our infrastructure (or the infrastructure of any of our third-party providers);
  • records, processes, or mines information about other users without their consent; or
  • uses manual or automated software, devices, or other processes to “crawl” or “spider” any page of the Sites or other aspects of the Services.

You also agree not to upload, download, post, submit, or otherwise distribute or facilitate the distribution of any content on or through the Services that accomplishes the same effect or any prohibited actions described above.

We reserve the right to edit, suspend, or remove any User Submissions from the Services at any time for any reason or for no reason at all and without notice to you. We also reserve the right to access, read, preserve, and disclose any information that we reasonable believe is necessary (i) to satisfy any applicable law, regulation, legal process, or governmental request; (ii) to enforce these Agreements, including investigation of potential violations; (iii) to detect, prevent, or otherwise address fraud, security or technical issues; (iv) to respond to user support requests; or (v) to protect the rights, property, or safety of our company, our users, or the public.

  1. Fees and Payment

We reserve the right to require payment of fees for the Services or certain features of the Services. If you elect to access or use Services or features subject to fees, you agree to pay all applicable fees as described in those Services. We reserve the right to change our price lists in the future and to institute new charges going forward at any time by providing prior notice to you. We may provide this notice by email or by positing it in the Services. You acknowledge that if you access or use Services subject to fees following that notification, you accept the new or increased charges.

  1. Additional Intellectual Property Terms

The Site, the Apps, the Omada Programs, all other aspects of the Services, and the Content are solely Omada’s property. The Services and the Content are protected under U.S. and international intellectual property laws, including copyright, trademark, patent, and trade secret protections, as well as other laws. Consistent with the section of these Terms entitled “Rights to and Responsibilities for User Submissions,” Omada does not claim ownership of User Submissions, and User Submissions will not be considered Content for purposes of this paragraph only.

Subject to your compliance with these Agreements, we grant you a personal, non-exclusive, non-transferable, non-sublicenseable, revocable, limited right to access our Site, download and use the Apps, and use the Omada Programs and other aspects of the Services. All rights in and to the Services that we have not expressly granted in these Terms are hereby reserved and retained by us. You agree to abide by all copyright notices, information, and restrictions contained in the Services and any Content. You agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, create derivative works from, or otherwise exploit the Services, any Content, any third-party submissions, or any other proprietary rights or other valid rights not owned by you without the consent of the respective owners or in any other way that violates any third-party right.

To the extent the Services expressly authorize you to do so, you may download or copy the Content and other items displayed on the Services for download but solely for your personal use in accordance with these Terms and only if you maintain all copyright, trademark, and other notices contained in those items. Copying or storing any Content for any use other than personal, noncommercial use in accordance with these Terms is expressly prohibited without prior written permission from us or from the copyright holder identified in the item’s copyright notice.

Omada Health, Omada, Omada for Prevention, Omada for Type 2 Diabetes, Omada for Hypertension, Omada for Behavioral Health, Omada Complete, Omada Mind, and the O logo (the “Omada Marks”) are trademarks or registered trademarks of Omada Health, Inc. Other trademarks, service marks, graphics, and logos appearing on the Site, the Apps, or other aspects of the Omada Programs or the Services may be the property of third parties (“Third-Party Marks”). Neither these Agreements nor your use of any aspects of the Services grants you any right, title, or interest in or to, or any license to reproduce or otherwise use, the Omada Marks or any Third-Party Marks.

  1. Termination

We may terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately, which may result in the forfeiture and destruction of certain information associated with your account. Upon termination of your right to use of all or any part of our Services, all licenses and other rights granted to you by these Agreements for such parts of the Services will immediately terminate.

If you wish to terminate your account, you may do so by following the instructions on the Site or contacting our customer support team at support@omadahealth.com. Any fees paid for the Services are non-refundable.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership and license provisions, warranty disclaimers, indemnity provisions, and limitations of liability.

  1. Warranty Disclaimer

THE CONTENT AND THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” AND ARE WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES IMPLIED BY ANY COURSE OF PERFORMANCE OR USAGE OF TRADE, ALL OF WHICH ARE EXPRESSLY DISCLAIMED. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.  OMADA, AND ITS DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, PARTNERS, AND ANYONE ELSE INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE CONTENT OR THE SERVICES (I) DO NOT ASSUME ANY LIABILITY OR RESPONSIBILITY FOR THE ACCURACY, APPROPRIATENESS, COMPLETENESS, OR USEFULNESS THE CONTENT OR THE SERVICES AND (II) DO NOT WARRANT THAT: (A) THE SERVICES WILL BE SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) ANY CONTENT OR SOFTWARE AVAILABLE AT OR THROUGH THE SERVICES IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS OR THE STATED PURPOSE.

PLEASE NOTE THAT SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. HOWEVER, THE LIMITATIONS ABOVE WILL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

  1. Indemnification

You agree to defend, indemnify, and hold harmless the Omada Parties from all liabilities, claims, losses, damages, and expenses, including reasonable attorneys’ fees, that arise from or relate to: (a) your use or misuse of the Services or the Content; (b) your provision of any User Submissions or other data to any Omada Party; (c) your breach of these Agreements; (d) your violation or alleged violation of any applicable foreign or domestic federal, state or local laws, rules, and/or regulations; or (d) any infringement or alleged infringement by you or any third party using your account of any intellectual property right or other right of any person or entity. Omada reserves the right to assume the exclusive defense and control of any matter subject to this indemnification, in which case you agree to assist and cooperate with Omada in asserting any available defenses.

  1. Limitation of Liability

IN NO EVENT SHALL ANY OMADA PARTY BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE, OR ANY OTHER LEGAL OR EQUITABLE THEORY WITH RESPECT TO THE SERVICES OR THE CONTENT: (A) FOR ANY SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER OR FOR ANY SUBSTITUTE GOODS OR SERVICES (HOWEVER ARISING); (B) FOR ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE (REGARDLESS OF THE SOURCE OF ORIGINATION); (C) FOR YOUR USE OR INABILITY TO USE OR RELIANCE ON THE SERVICES OR ANY CONTENT; OR (D) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON OUR SERVICES. IN ADDITION, THE MAXIMUM LIABILITY OF THE OMADA PARTIES TO YOU FOR ANY AND ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF (I) THE AMOUNT PAID BY YOU FOR ACCESS TO OR USE OF OUR SERVICES, OR (II) THREE HUNDRED U.S. DOLLARS (USD $300.00).   

YOU ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS SET FORTH IN THIS SECTION ARE FUNDAMENTAL ELEMENTS OF THESE AGREEMENTS AND THAT THE SERVICES WOULD NOT BE PROVIDED TO YOU ABSENT THESE LIMITATIONS. YOU AGREE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION REPRESENTS A REASONABLE ALLOCATION OF RISK AND ARE A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN OMADA AND YOU.

SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO CERTAIN OF THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU IF YOU RESIDE IN ONE OF THOSE JURISDICTIONS. IF ANY PORTION OF THIS LIMITATION OF LIABILITY IS FOUND TO BE INVALID, LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

Any claims against Omada arising in connection with your access to or use of the Services must be brought against Omada within one (1) year of the date of the event giving rise to that claim.

  1. International Use

Omada provides the Services only to individuals residing in the United States of America and its territories. Omada makes no representation that the Services are appropriate or available for use in locations outside of the United States, and accessing the Services is prohibited from territories where such Services are illegal. If you access the Services from other locations, you do so at your own initiative and risk and are responsible for compliance with local laws.

  1. Governing Law and Dispute Resolution

A printed version of these Agreements and of any notice given in electronic form shall be admissible in judicial or administrative proceedings relating to these Agreements to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

These Agreements shall be governed by and construed in accordance with the laws of the State of California, excluding its conflicts of law rules, and the laws of the United States of America. For all purposes of these Agreements, the parties consent to exclusive jurisdiction and venue in the United States Federal Courts located in the Northern District of California or in a state court in the County of San Francisco, California.

Any dispute arising from or relating to the subject matter of these Agreements shall be finally settled by binding arbitration in San Francisco County, California, using the English language in accordance with the Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services, Inc. (“JAMS”) then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes, who shall be selected from the appropriate list of JAMS arbitrators in accordance with the Comprehensive Arbitration Rules and Procedures of JAMS. The prevailing party in the arbitration shall be entitled to receive reimbursement of its reasonable expenses (including reasonable attorneys’ fees, expert witness fees, and all other expenses) incurred in connection therewith. Judgment upon the award so rendered may be entered in a court having jurisdiction or application may be made to such court for judicial acceptance of any award and an order of enforcement, as the case may be. Notwithstanding the arbitration provisions, each party shall have the right to institute an action in a court of proper jurisdiction for injunctive or other equitable relief pending a final decision by the arbitrator.

YOU MAY ONLY RESOLVE DISPUTES WITH US ON AN INDIVIDUAL BASIS, AND YOU MAY NOT BRING A CLAIM AS A PLAINTIFF OR A CLASS MEMBER IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. CLASS ACTIONS, CLASS ARBITRATIONS, PRIVATE ATTORNEY GENERAL ACTIONS, AND CONSOLIDATION WITH OTHER ARBITRATIONS ARE NOT ALLOWED.

Use of the Services is not authorized in any jurisdiction that does not give effect to this Section or any other provisions of these Agreements.

  1. Integration and Severability

These Terms, the Privacy Policy, and the Notice of HIPAA Privacy Practices and any other agreement referenced herein, constitute the entire agreement between you and us with respect to the Services and supersede all prior or contemporaneous communications and proposals (whether oral, written, or electronic) between you and us with respect to the Services. If any provision of these Agreements is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Agreements will otherwise remain in full force and effect and enforceable. The failure of either party to exercise in any respect any right provided for in these Agreements shall not be deemed a waiver of any further rights under these Agreements.

  1. Miscellaneous

We shall not be liable for any failure to perform obligations hereunder to the extent that failure results from any cause beyond our reasonable control, including, without limitation, natural disasters and mechanical, electronic, or communications failures or degradation.

These Agreements are personal to you and are not assignable, transferable, or sublicensable by you except with our prior written consent. We may assign, transfer, or delegate any or all of our rights and obligations under these Agreements without consent. Our licensors and App Providers may be entitled to enforce these Agreements as third-party beneficiaries; otherwise, there are no other third-party beneficiaries to these Agreements. No agency, partnership, joint venture, or employment relationship is created as a result of these Agreements. All notices under these Agreements will be in writing and will be deemed to have been duly given (a) when received, if personally delivered or sent by certified or registered mail, return receipt requested; (b) when receipt is electronically confirmed, if transmitted by facsimile or e-mail; or (c) the day after it is sent, if sent for next day delivery by recognized overnight delivery service.

  1. Digital Millennium Copyright Act Policy

If you have evidence, know, or have a good-faith belief that your rights or the rights of a third party have been violated, and you want us to remove, edit, or disable the material in question, you must provide us with all of the following information: (a) a physical or electronic signature of a person authorized to act on behalf of the owner of the exclusive right that is allegedly infringed; (b) identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are covered by a single notification, a representative list of such works; (c) identification of the material that is claimed to be infringed or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material; (d) information reasonably sufficient to permit us to contact you, such as an address, telephone number, and if available, an email address at which you may be contacted; (e) a statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (f) a statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed. For this notification to be effective, you must provide it to our designated agent at:

  1. Nondiscrimination Statement and Language Assistance

We comply with applicable civil rights laws and do not discriminate on the basis of race, color, national origin, age, disability, limited English proficiency or sex. We do not exclude people from receiving any Omada Programs or treat individuals differently because of race, color, national origin, age, disability, or sex. 

We will provide translation services for people whose primary language is not English, at no cost to the individual, to explain how the Omada Programs operate and how to use our Apps. Estos Términos de uso (los “Términos”) cubren su acceso y uso de nuestros Servicios. A los fines de estos Términos, nuestros “Servicios” incluyen los siguientes:

Podemos, a nuestro exclusivo criterio, negarnos a ofrecer los Servicios a cualquier persona o entidad. También podemos cambiar los criterios utilizados para determinar la elegibilidad clínica para uno o más Programas Omada en cualquier momento y por cualquier motivo. Esta disposición es nula en jurisdicciones donde está prohibida por la ley y, en consecuencia, revocamos el derecho de acceso a los Servicios en esas jurisdicciones.

Nos reservamos el derecho de cambiar, reemplazar, suspender o discontinuar los Servicios o cualquier componente de los Servicios (incluidos, entre otros, cualquier función, especificación, base de datos o contenido), en cualquier momento y por cualquier motivo, a nuestro criterio. No seremos responsables ante usted por ningún cambio, reemplazo, suspensión o interrupción de sus derechos de acceso o uso de los Servicios. También podemos imponer limitaciones a determinadas funciones o partes de los Servicios, o restringir su acceso a todos o parte de los Servicios sin previo aviso ni responsabilidad.

  1. Limitaciones relacionadas con medicamentos y tratamiento médico

LOS SERVICIOS PERMITEN A LOS USUARIOS ACCEDER AL CONTENIDO E INTERACTUAR CON NUESTROS ASESORES DE SALUD Y EQUIPOS DE APOYO. EN CIERTAS INSTANCIAS, LOS ASESORES DE SALUD CON LICENCIAS PROFESIONALES EN ÁREAS CLÍNICAS PERTINENTES PUEDEN PROPORCIONARLE ASPECTOS DE LOS PROGRAMAS OMADA QUE REQUIEREN UNA LICENCIA EN VIRTUD DE LA LEY VIGENTE (“SERVICIOS CON LICENCIA”).

ADEMÁS DE LOS ASPECTOS DE LOS PROGRAMAS OMADA QUE SON SERVICIOS CON LICENCIA, NO OFRECEMOS NINGÚN ASESORAMIENTO O TRATAMIENTO MÉDICO. EL CONTENIDO Y LA INFORMACIÓN QUE PROPORCIONA NUESTRO PERSONAL, EXCEPTO LOS SERVICIOS CON LICENCIA, SON PARA FINES INFORMATIVOS SOLAMENTE Y NO DEBEN USARSE PARA EL DIAGNÓSTICO O TRATAMIENTO DE NINGUNA AFECCIÓN MÉDICA.

SIEMPRE SOLICITE ASESORAMIENTO A SU MÉDICO U OTRO PROVEEDOR DE SALUD CALIFICADO ANTES DE DECIDIR INICIAR, MODIFICAR O DISCONTINUAR UN TRATAMIENTO MÉDICO, O SI TIENE PREGUNTAS SOBRE SU AFECCIÓN MÉDICA, SU DIETA O EL USO (O LA FRECUENCIA) DE CUALQUIER MEDICAMENTO O DISPOSITIVO MÉDICO. NO UTILICE LOS SERVICIOS COMO SUBSTITUTO DE CONSULTA CON SU MÉDICO U OTRO PROVEEDOR DE ATENCIÓN MÉDICA, NO IGNORE EL ASESORAMIENTO MÉDICO PROFESIONAL NI SE DEMORE EN SOLICITARLO DEBIDO A CUALQUIER INFORMACIÓN RECIBIDA EN RELACIÓN CON NUESTROS SERVICIOS.

EN LA MEDIDA EN QUE, ADEMÁS DE LOS SERVICIOS QUE RECIBE DE NOSOTROS, TAMBIÉN RECIBA ATENCIÓN MÉDICA DE OTRA PARTE, ESA ATENCIÓN MÉDICA ESTARÁ SEPARADA DE LOS SERVICIOS PROPORCIONADOS POR NOSOTROS Y NO SE RELACIONARÁ CON ESTOS. EL PROFESIONAL MÉDICO QUE LO ATIENDE ES RESPONSABLE DE OBTENER SU CONSENTIMIENTO INFORMADO PARA CUALQUIER DIAGNÓSTICO MÉDICO O TRATAMIENTO EN RELACIÓN CON ESTA ATENCIÓN MÉDICA, QUE INCLUYE SIN LIMITACIÓN, CUALQUIER CONSENTIMIENTO LEGALMENTE REQUERIDO PARA USAR TELEMEDICINA. NO SOMOS RESPONSABLES DE NINGÚN ASESORAMIENTO, TRATAMIENTO, DIAGNÓSTICO O CUALQUIER OTRA INFORMACIÓN, SERVICIOS O PRODUCTOS QUE PUEDA OBTENER DE TERCEROS NO AFILIADOS, EN RELACIÓN CON EL USO DE LOS SERVICIOS O COMO RESULTADO DE ESTE.

  1. Sin servicios de emergencia

LOS SERVICIOS NO SON DE EMERGENCIA. NO OFRECEMOS COMUNICACIONES DE EMERGENCIA O DE PRIORIDAD TEMPORAL CRÍTICA A NINGÚN TIPO DE HOSPITAL, ORGANISMO DE APLICACIÓN DE LEY, NI NINGÚN OTRO TIPO DE SERVICIO DE EMERGENCIA O DE PRIORIDAD TEMPORAL CRÍTICA. LOS SERVICIOS NO REEMPLAZAN AL 911, SUS PROVEEDORES DE ATENCIÓN MÉDICA PERSONAL, ENFERMEROS ASESORES NI OTRA ASISTENCIA DE EMERGENCIA. NO INTENTE ACCEDER A LA ATENCIÓN DE EMERGENCIA A TRAVÉS DE LOS SERVICIOS NI DEPENDA DE LOS SERVICIOS DE NINGUNA MANERA PARA RECIBIR ASISTENCIA DE EMERGENCIA. SI EN ALGÚN MOMENTO ESTÁ PREOCUPADO POR SU ATENCIÓN O TRATAMIENTO, O SI CONSIDERA QUE TIENE UNA EMERGENCIA MÉDICA, LLAME AL 911 O VAYA DE INMEDIATO A LA SALA DE EMERGENCIA ABIERTA MÁS CERCANA.

Si nos damos cuenta o consideramos que es una emergencia, podemos garantizar que recibirá del hospital, médico o personal médico (“Personal de respuesta a emergencias”) cualquier tratamiento de emergencia que consideremos necesario para su atención inmediata a nuestro exclusivo criterio. Usted comprende y acepta que, si tomamos alguna medida para garantizar la asistencia del Personal de respuesta a emergencias en su nombre, usted, y no nosotros, será el único responsable del pago de todos los servicios médicos prestados en relación con ese tratamiento.

  1. Descarga de aplicaciones de los proveedores de aplicaciones

Para acceder y utilizar cualquiera de las aplicaciones, debe descargarla desde una plataforma de distribución digital, como App Store de Apple o Google Play (el “Proveedor de aplicaciones”). Aunque debe descargar la aplicación del proveedor de aplicaciones, estos acuerdos son entre usted y nosotros (y no con el proveedor de aplicaciones). El proveedor de aplicaciones no tiene ninguna obligación de proporcionar servicios de mantenimiento o soporte relacionados con las aplicaciones. El Proveedor de aplicaciones tampoco es responsable de abordar los reclamos (de usted o de terceros) que se relacionen con cualquiera de las aplicaciones o con la posesión o el uso que haga de estas, incluidos, entre otros, los reclamos relacionados con la responsabilidad sobre el producto, reclamos debidos a que una aplicación no cumple con los requisitos legales o reglamentarios aplicables, y reclamos que surgen en virtud de las leyes de protección al consumidor o legislación similar. Si un tercero afirma que una de las aplicaciones o su posesión o uso de esa aplicación infringe los derechos de propiedad intelectual de ese tercero, nosotros (y no el proveedor de aplicaciones) seremos responsables de la investigación, defensa, solución y anulación de ese reclamo en la medida que se establezca en estos Acuerdos. Aunque estos Acuerdos son entre usted y nosotros, también debe cumplir con cualquier otro término de servicio correspondiente del Proveedor de aplicaciones u otros terceros aplicables cuando acceda o use los Servicios.

  1. Registro

Como condición para inscribirse en un Programa Omada, deberá registrarse con nosotros. Usted declara y garantiza que toda la información que nos envía es completa, precisa y veraz. Si permite que un tercero lo ayude a proporcionarnos información, incluido el registro a un Programa Omada o la solicitud de un Programa Omada, usted declara y garantiza que ha revisado esa información y confirma que es completa, precisa y veraz antes de enviarla. También acepta conservar la información que nos envía (o que un tercero envía en su nombre) y actualizarla de inmediato si realiza algún cambio. Si no mantiene actualizada la información, esto constituirá el incumplimiento de estos Acuerdos, lo que puede resultar en el cierre inmediato de su cuenta.

Al registrarse a un Programa Omada, deberá seleccionar un nombre de usuario (“ID de usuario”). Usted es el único responsable de elegir su ID de usuario y acepta no seleccionar ni usar como su ID de usuario (a) el nombre de otra persona con la intención de hacerse pasar por esa persona, (b) un nombre que esté sujeto a cualquier derecho de otra persona sin la debida autorización o (c) cualquier nombre que sea ofensivo, vulgar u obsceno. Nos reservamos el derecho de rechazar el registro de cualquier ID de usuario o cancelar cualquier ID de usuario a nuestro exclusivo criterio. Además, acepta no usar nunca la cuenta de otro usuario sin el permiso expreso de ese usuario.

Al registrarse en un Programa, también deberá configurar la contraseña de la cuenta. Usted es el único responsable de establecer su contraseña y mantener su confidencialidad. También es el único responsable de todas las actividades que ocurran en su cuenta. Usted acepta no compartir su contraseña con ninguna persona, no permitir que ninguna persona tenga acceso a su contraseña y no facilitar el uso de su ID de usuario y contraseña por parte de otra persona. Usted acepta notificarnos por escrito de inmediato sobre cualquier uso no autorizado de su contraseña o cuenta, o cualquier otra violación de seguridad de la que tenga conocimiento.

  1. Consentimiento para recibir comunicaciones por correo electrónico y teléfono

Como condición para acceder o utilizar los Programas Omada, las Aplicaciones y otros aspectos de los Servicios, debe proporcionarnos su dirección de correo electrónico y número de teléfono. Al participar en los Servicios, usted acepta que nos comuniquemos con usted por correo electrónico, mensajes de texto, llamadas de voz, notificaciones automáticas y otras comunicaciones electrónicas relacionadas con los Servicios. Los correos electrónicos que le enviemos pueden estar sin cifrar y pueden contener información personal, incluida información de salud protegida, y usted acepta que podemos enviarle estos correos electrónicos a menos que elija cancelar la suscripción a los correos electrónicos en cualquier momento. Como parte del uso de los Servicios, usted acepta recibir todos los acuerdos, avisos, divulgaciones y otras comunicaciones que le proporcionamos en forma electrónica, incluidas todas las comunicaciones que la ley o estos Acuerdos nos exigen proporcionarle. También reconoce que la recepción de estas comunicaciones en forma electrónica cumple con cualquier requisito legal de que las comunicaciones sean por escrito. Su consentimiento para recibir avisos electrónicos, divulgaciones y otras comunicaciones se aplica a cualquier aviso u otra información que proporcionemos en relación con su solicitud, registro o inscripción en un Programa Omada y todas las comunicaciones relacionadas con el acceso y uso de los Servicios. 

  1. Sus sistemas y conexiones a los servicios

Usted es responsable de obtener, instalar, operar y mantener todo el software, hardware u otro equipo (en conjunto denominados, “Sistemas”) que pueda necesitar para acceder y utilizar los Servicios y cualquier servicio de Internet o inalámbrico a través de los proveedores de su elección (las “Conexiones”). Esta responsabilidad incluye, sin limitación, la utilización de versiones actuales de navegadores web y software de cifrado, antivirus, antispyware y seguridad de Internet apropiado. Al acceder o utilizar los Servicios, usted demuestra y acepta que puede acceder a la información que publicamos electrónicamente y recibir comunicaciones electrónicas de nuestra parte.

En relación con su acceso y uso de los Servicios, usted comprende y acepta que:

  • es responsable de la seguridad de los datos de los Sistemas que utiliza (o que utiliza un tercero en su nombre) para acceder a los Servicios y para la transmisión y recepción de información mediante el uso de esos Sistemas;
  • el uso de redes abiertas como las Conexiones está asociado con ciertos riesgos de seguridad, corrupción, error de transmisión y disponibilidad de acceso, y usted asume expresamente esos riesgos;
  • ha realizado su propia evaluación independiente de la adecuación de los Sistemas y las Conexiones, y está satisfecho con esa evaluación; y
  • no somos responsables de ningún error o problema que surja del mal funcionamiento o falla de los Sistemas o las Conexiones.

Las líneas de comunicación utilizadas para transmitir correos electrónicos y mensajes de texto no tienen las mismas características de seguridad integradas en los Servicios. Al acceder o utilizar los Servicios, usted reconoce que no podemos garantizar la seguridad de la información que nos envía a través de sus Sistemas o Conexiones hasta que esa información nos llegue, y reconoce que la información enviada por correo electrónico, mensaje de texto u otro modo a través de sus Sistemas o Conexiones posiblemente no esté cifrada o no sea segura.

NO ASUMIMOS NINGUNA RESPONSABILIDAD POR RETRASOS, INTERRUPCIONES, FALLAS, CORRUPCIONES, ACCESOS NO DESEADOS O DIVULGACIONES DE INFORMACIÓN, O EN RELACIÓN CON ESTOS, QUE USTED O SUS AGENTES NOS TRANSMITAN, HASTA QUE ESA INFORMACIÓN LLEGUE A NOSOTROS. ADEMÁS, AL ACEPTAR RECIBIR CORREOS ELECTRÓNICOS, MENSAJES DE TEXTO, NOTIFICACIONES AUTOMÁTICAS U OTRAS COMUNICACIONES ELECTRÓNICAS DE NOSOTROS, USTED ACEPTA CUALQUIER RIESGO Y DAÑO COMO CONSECUENCIA DE LA DIVULGACIÓN DE LAS COMUNICACIONES EN LA TRANSMISIÓN.

  1. Tipos de Presentaciones del usuario

Sus Presentaciones

En relación con su uso de los Servicios, podemos recibir o recopilar Presentaciones del usuario suyas. A los fines de estos Términos, “Presentaciones del usuario” se refiere a cualquier contenido, información personal (que incluye sin limitación, su nombre, información de contacto, seguimiento de actividad, seguimiento de alimentación, seguimiento del sueño, información biométrica, lecturas de salud y otra información de identificación personal o de salud personal), videos, clips de audio, comentarios escritos, datos, texto, fotografías, software, guiones, gráficos, obras de autor u otra información, en cada caso, cuando sea suministrado o recopilado por un usuario de los Servicios, lo cual incluye comentarios o sugerencias de mejoras, modificaciones o correcciones de errores (“Presentaciones del usuario”).

Datos proporcionados por Dispositivos suministrados por Omada

En relación con su participación en un Programa Omada, podemos proporcionarle equipos digitales que lo ayuden a controlar su salud o estado físico, y que nos suministren esa información automáticamente y se la suministre al Programa Omada correspondiente (“Dispositivos suministrados por Omada”). Los Dispositivos suministrados por Omada están configurados previamente para proporcionarnos información; estos compartirán información sobre usted y su salud sin requerir autorizaciones adicionales de su parte. La información que recibamos de los Dispositivos suministrados por Omada se considerará Presentaciones del usuario.

Datos proporcionados por usted a través de Fuentes de datos de terceros

También podemos recibir información sobre usted de terceros que han recibido la información porque usted suscribe a sus servicios o participa de alguna otra manera en ellos, o porque usa su equipo digital (“Fuentes de datos de terceros”).

Por ejemplo, podemos recibir datos de equipos digitales, como monitores de glucosa en sangre, monitores de presión arterial o rastreadores de actividad, que ya posee o que adquirirá luego por su cuenta y no de nosotros (“Dispositivos de salud de terceros”). Si nos proporciona información de Dispositivos de salud de terceros al ingresar manualmente esa información a través de las Aplicaciones o los Sitios, esa información se considerará información suya y, por lo tanto, será una Presentación del usuario. Si habilita uno o más Dispositivos de salud de terceros para que nos proporcionen información automáticamente, esa información se considerará información suya suministrada a través de sus Fuentes de datos de terceros y también será una Presentación del usuario.

Además de los dispositivos de salud de terceros, las fuentes de datos de terceros pueden incluir otras fuentes de datos de terceros, como Apple HealthKit. Cuando autorice a estas Fuentes de datos de terceros a que nos proporcionen información, esa información se considerará información suya suministrada a través de sus Fuentes de datos de terceros y también será una Presentación del usuario.

  1. Términos para proveedores de terceros

Los Servicios pueden permitirle mostrar, usar, incluir o poner a disposición otros contenidos, datos, informaciones, aplicaciones, servicios o materiales de terceros (“Ofertas de terceros”). A los fines de estos Términos, sus Dispositivos de salud de terceros y otras Fuentes de datos de terceros se considerarán Ofertas de terceros. Además, a los fines de estos Términos, cualquier entidad que ofrezca o ponga a disposición Ofertas de terceros, así como cualquier agente o intermediario que esas entidades puedan emplear, se considerarán “Proveedores de terceros”.

Cuando utiliza ofertas de terceros o interactúa con proveedores externos, LO HACE A SU PROPIO RIESGO. En la medida en que pueda autorizarnos a vincularnos directamente a cualquier Oferta de terceros o cualquier Proveedor externo, lo hacemos únicamente para su conveniencia. En la medida en que los Servicios contengan enlaces a sitios de terceros, cuando acceda a esos enlaces, lo hará a su propio riesgo. Nuestra inclusión de cualquier enlace a Ofertas de Terceros o cualquier otro contenido de Proveedores externos en los Servicios no implica ningún respaldo o recomendación por nuestra parte, ni ninguna asociación con los Proveedores externos. Ninguna de las Ofertas de terceros ni los Proveedores externos está bajo nuestro control. En la medida en que un Proveedor externo le suministre dispositivos o servicios que estén regulados por la ley aplicable en materia de seguridad, eficacia o de otro modo, no somos responsables de ninguna falla o de que dichos suministros o dispositivos cumplan con esos reglamentos.

No somos responsables de la manera en que las Ofertas de terceros y los Proveedores externos recopilan, protegen, acceden o usan la información que usted les proporciona o que nosotros les proporcionamos a pedido o instrucción suya. Usted es el único responsable de leer y comprender los términos de uso y las políticas de privacidad de cada Oferta de terceros y Proveedor externo antes de usarlos o interactuar con ellos. Si no comprende o no está de acuerdo con los términos de uso o las políticas de privacidad de cualquier Oferta de terceros o Proveedor externo, no debe usar o interactuar con esas ofertas o proveedores.

POR LA PRESENTE RENUNCIAMOS A TODA RESPONSABILIDAD Y OBLIGACIÓN POR LA RECOPILACIÓN Y USO POR CUALQUIER OFERTA DE TERCEROS O PROVEEDORES EXTERNOS DE CUALQUIER INFORMACIÓN QUE LES SUMINISTRE O QUE NOSOTROS LE SUMINISTREMOS A PEDIDO O INSTRUCCIÓN SUYA, ASÍ COMO DISPONIBILIDAD, RENDIMIENTO, FALLAS TÉCNICAS, CONTENIDO, PRECISIÓN, EFICACIA, ADECUACIÓN, PROTECCIÓN, LEGALIDAD O SEGURIDAD DE OFERTAS DE TERCEROS Y PROVEEDORES EXTERNOS, O CUALQUIER OTRO ASPECTO DE SU FUNCIONAMIENTO O INTERACCIONES. USTED ACEPTA ASUMIR TODA LA RESPONSABILIDAD POR CUALQUIER DAÑO, PÉRDIDA O PERJUICIO, TANTO A USTED COMO A TERCEROS, COMO CONSECUENCIA O PRESUNTA CONSECUENCIA DEL USO DE OFERTAS DE TERCEROS Y PROVEEDORES EXTERNOS.

  1. Términos adicionales para dispositivos suministrados por Omada

En relación con su participación en un Programa Omada, podemos proporcionarle Dispositivos suministrados por Omada. Los fabricantes de dispositivos de algunos Dispositivos suministrados por Omada han acordado que esos dispositivos no le pedirán que lea o acepte los términos de servicio, la política de privacidad u otros acuerdos de usuario del fabricante del dispositivo (los “Acuerdos de usuario del fabricante”) ni le impedirá conectar el Dispositivo suministrado por Omada a los Servicios sin el consentimiento previo de dichos acuerdos. Los fabricantes de algunos Dispositivos suministrados por Omada (los “Dispositivos con términos adicionales”) pueden pedirle que lea y acepte los Acuerdos de usuario del fabricante cuando active el dispositivo por primera vez y pueden evitarle que conecte sus Dispositivos con términos adicionales sin antes dar su consentimiento a los Acuerdos de usuario del fabricante. Los fabricantes de Dispositivos con términos adicionales han acordado que, si bien usted participa en los Servicios, los Acuerdos de usuario del fabricante no se aplicarán a su uso de los Dispositivos con términos adicionales en la medida en que entren en conflicto con estos Acuerdos. Los fabricantes de Dispositivos con términos adicionales también han acordado que, aunque esté inscrito en el Programa Omada correspondiente, solo se aplicará la Política de privacidad y el Aviso de las prácticas de privacidad de la HIPAA de Obama y no la política de privacidad del fabricante a su uso de los Dispositivos con términos adicionales. Si continúa utilizando un Dispositivo con términos adicionales después de cerrar su cuenta con nosotros o después de que se haya dado de baja o haya cancelado el Programa Omada correspondiente a ese dispositivo, los Acuerdos de usuario del fabricante se aplicarán en su totalidad al uso de ese Dispositivo con términos adicionales a partir de ese momento.

  1. Derechos y responsabilidades de las presentaciones del usuario

Usted conserva todos los derechos de propiedad o licencia que posee en sus Presentaciones del usuario, siempre que otorgue las licencias para usar las Presentaciones del usuario que se describen a continuación a las Partes de Omada y a otros usuarios. Usted declara y nos garantiza que posee todos los derechos, títulos e intereses sobre sus Presentaciones del usuario o bien que está autorizado a otorgar las licencias descritas en estos Acuerdos. También declara que la concesión de estas licencias no violará ninguna ley ni infringirá los derechos de una persona o entidad.

Usted presta consentimiento y otorga a las Partes de Omada un derecho y una licencia perpetuos, irrevocables, sublicenciables, libres de regalías, totalmente pagados y a nivel mundial para usar, autorizar, modificar, reproducir, adaptar, publicar, traducir, transmitir, editar, distribuir, realizar, mostrar, comunicar públicamente, crear trabajos derivados o usar de otro modo las Presentaciones del usuario e incorporar cualquier Presentación del usuario en otros trabajos, de cualquier forma, por cualquier medio o tecnología, en cada caso sujeto a estos Términos, a nuestra Política de privacidad y a nuestro Aviso de prácticas de privacidad de la HIPAA. También acepta y permite que cualquier otro usuario de los Servicios acceda, muestre, vea, almacene y reproduzca las Presentaciones del usuario que usted ponga a disposición de cualquier grupo dentro de los Servicios o al público para su uso personal sin compensación.

Si toda o una parte de la Presentación del usuario constituye información de salud protegida o información de identificación personal como se describe en nuestra Política de privacidad y nuestro Aviso de prácticas de privacidad de la HIPAA, la trataremos como tal. Sin embargo, según la licencia que otorgue de conformidad con estos Términos, nos reservamos el derecho de eliminar los identificadores personales de todos y cada uno de las Presentaciones del usuario y, una vez que no puedan identificarse o ya no puedan atribuirse a usted sin información adicional (incluida cualquier forma prescrita por ley), la información restante (“Datos sin identificación personal”) no estará sujeta a ninguna obligación de confidencialidad de nuestra parte. Usted comprende y acepta que poseemos todos los derechos, títulos e intereses en relación con los Datos sin identificación personal. También comprende y acepta que los Datos sin identificación personal se pueden utilizar para cualquier propósito comercial legal sin ningún deber de rendir cuentas. Por ejemplo, una vez que no puedan identificarse, podemos usar los datos de Presentaciones del usuario en nuestras publicaciones, en materiales de ventas y comercialización, y para investigación y desarrollo de productos.

Al brindarle la posibilidad de publicar y utilizar las Presentaciones del usuario, no asumimos ninguna obligación o responsabilidad relacionada con esas Presentaciones del usuario, las Presentaciones del usuario de otros o de cualquier actividad relacionada. No respaldamos ninguna Presentación del usuario. Usted reconoce que todas las Presentaciones del usuario realizadas, cargadas, publicadas, transmitidas o mostradas son responsabilidad exclusiva de la persona que realizó dichas presentaciones y que usted es completamente responsable de todas las Presentaciones del usuario. No controlamos las Presentaciones del usuario de otros usuarios. En consecuencia, no garantizamos la autenticidad, precisión, integridad o calidad de las Presentaciones del usuario. NO REPRESENTAMOS, GARANTIZAMOS NI ASEGURAMOS LA VIGENCIA O PRECISIÓN DE NINGUNA INFORMACIÓN PROPORCIONADA POR UN USUARIO O EN NOMBRE DE ESTE, Y, POR LA PRESENTE, NO ASUMIMOS NINGUNA RESPONSABILIDAD NI OBLIGACIÓN POR LA INFORMACIÓN PROPORCIONADA POR LOS USUARIOS O EN NOMBRE DE ESTOS, EN RELACIÓN CON EL USO DEL SERVICIOS.

Usted comprende y acepta que, al acceder o utilizar los Servicios, puede estar expuesto a Presentaciones del usuario que sean ofensivas u objetables. Si bien nos reservamos el derecho de hacerlo, no tenemos obligación de monitorear los Servicios o los Presentaciones del usuario. RENUNCIAMOS A CUALQUIER DERECHO REAL O IMPLÍCITO DE MONITOREAR LAS PRESENTACIONES DEL USUARIO Y ESPECÍFICAMENTE NO ASUMIMOS NINGUNA RESPONSABILIDAD NI OBLIGACIÓN POR NINGUNA PRESENTACIÓN DEL USUARIO NI POR LA CALIDAD O PRECISIÓN DE OTRA INFORMACIÓN QUE LOS USUARIOS PROPORCIONEN MEDIANTE EL USO DE LOS SERVICIOS.

  1. Uso aceptable de los servicios

Proporcionamos los Servicios solo para el uso personal, no comercial y limitado de conformidad con estos Acuerdos. Usted es responsable de todo el uso que haga de los Servicios. Como condición para acceder o utilizar los Servicios, usted acepta cumplir con todas las leyes, normas y regulaciones locales, estatales y federales aplicables para acceder a los Servicios y utilizarlos en todo momento, y acepta no utilizar los Servicios para ningún propósito que esté prohibido por estos Acuerdos.

Violación de los derechos de otros y abuso o engaño a otros

Al acceder a los Servicios y utilizarlos, usted acepta no tomar (o no permitir que un tercero tome) ninguna medida que:

  • sea amenazante, abusiva, acosadora, difamatoria, calumniosa, engañosa, fraudulenta, invasiva de la privacidad de otra persona, perjudicial, ilegal, obscena, ofensiva o profana;
  • promueva intolerancia, racismo, misoginia u odio étnico o religioso;
  • infrinja cualquier patente, marca registrada, secreto comercial, derecho de autor, derecho de publicidad u otro derecho de cualquier otra persona o entidad;
  • constituya publicidad no autorizada o no solicitada, correo no deseado, correo masivo u otro tipo de spam;
  • implique actividades comerciales o ventas que no hayamos autorizado, como concursos, sorteos, loterías, obsequios, trueques, anuncios, clubes de regalos, cartas en cadena, esquemas piramidales u otros esquemas fraudulentos; o
  • suplante a cualquier persona o entidad, incluidos cualquiera de nuestros empleados o representantes, o haga un mal uso de la información de contacto o cuenta de otra persona.

Abuso e interrupción de los servicios

Al acceder y utilizar los Servicios, también acepta no tomar (o no permitir que un tercero tome) ninguna medida que:

  • interfiera o intente interferir en el funcionamiento adecuado de los Servicios o de las actividades que se realizan en los Servicios o como parte de estos;
  • evite o intente eludir cualquier medida tecnológica implementada por nosotros o cualquier otro tercero (incluido otro usuario) para proteger o restringir el acceso a cualquier aspecto de los Servicios, sistemas informáticos o redes, cuentas o envíos de otros usuarios o terceros;
  • transmita o introduzca virus de software o cualquier otro código informático, archivos o programas diseñados o destinados a interrumpir, dañar, limitar o interferir el funcionamiento correcto de cualquier software, hardware o equipo de telecomunicaciones, o dañar u obtener acceso no autorizado a cualquier sistema, datos, contraseñas u otra información nuestra o de un tercero;
  • descifre, descompile, desmonte, realice ingeniería inversa o intente obtener códigos fuente, ideas o algoritmos subyacentes de cualquier parte del Servicio, salvo en la limitada medida en que las leyes aplicables prohíban específicamente dicha restricción;
  • modifique, traduzca o cree de otro modo trabajos derivados de cualquier parte de los Servicios;
  • copie, alquile, arriende, distribuya o transfiera cualquiera o todos los derechos que usted recibe de conformidad con estos Acuerdos;
  • imponga o pueda imponer una carga irrazonable o desproporcionadamente grande en nuestra infraestructura (o la infraestructura de cualquiera de nuestros proveedores externos);
  • registre, procese o extraiga información sobre otros usuarios sin su consentimiento; o
  • utilice software, dispositivos u otros procesos manuales o automatizados para “rastrear” o “recolectar” cualquier página de los Sitios u otros aspectos de los Servicios.

También acepta no cargar, descargar, publicar, enviar, distribuir o facilitar la distribución de ningún contenido en los Servicios o a través de estos que logre el mismo efecto o cualquier acción prohibida descrita anteriormente.

Nos reservamos el derecho de editar, suspender o eliminar cualquier Presentación del usuario de los Servicios en cualquier momento y por cualquier motivo, o sin motivo alguno y sin previo aviso. También nos reservamos el derecho de acceder, leer, preservar y divulgar cualquier información que consideremos razonablemente necesaria (i) para cumplir con leyes, reglamentos, procesos legales o solicitudes gubernamentales aplicables; (ii) para hacer cumplir estos Acuerdos, incluida la investigación de posibles violaciones; (iii) para detectar, prevenir o abordar el fraude, la seguridad o los problemas técnicos; (iv) para responder a las solicitudes de soporte del usuario; o (v) para proteger los derechos, la propiedad o la seguridad de nuestra empresa, nuestros usuarios o el público.

  1. Tarifas y pago

Nos reservamos el derecho de exigir el pago de tarifas por los Servicios o ciertas características de los Servicios. Si elige acceder o utilizar los Servicios o las funciones sujetas a tarifas, acepta pagar todas las tarifas aplicables como se describe en esos Servicios. Nos reservamos el derecho de cambiar nuestras listas de precios en el futuro e instituir nuevos cargos en cualquier momento mediante notificación previa. Podemos proporcionar este aviso por correo electrónico o al publicarlo en los Servicios. Usted reconoce que si accede o utiliza los Servicios sujetos a tarifas después de esa notificación, acepta los cargos nuevos o aumentados.

  1. Términos adicionales de propiedad intelectual

El Sitio, las Aplicaciones, los Programas Omada, todos los demás aspectos de los Servicios y el Contenido son propiedad exclusiva de Omada. Los Servicios y el Contenido están protegidos por las leyes de propiedad intelectual internacionales y de los EE. UU.; esto incluye las protecciones de derechos de autor, marcas registradas, patentes y secretos comerciales, así como otras leyes. Sujeto al cumplimiento de estos Acuerdos, le otorgamos un derecho personal, no exclusivo, no transferible, no sublicenciable, revocable y limitado para acceder a nuestro Sitio, descargar y usar las Aplicaciones, y usar los Programas Omada y otros aspectos de los Servicios. Todos los derechos sobre los Servicios que no hayamos otorgado expresamente en estos Términos quedan reservados y permanecen en posesión nuestra. Usted acepta cumplir con todos los avisos de derechos de autor, información y restricciones contenidas en los Servicios y en cualquier contenido. Usted acepta no vender, otorgar licencia, alquilar, modificar, distribuir, copiar, reproducir, transmitir, mostrar públicamente, realizar públicamente, publicar, adaptar, editar, crear obras derivadas o explotar los Servicios, cualquier contenido, envío de terceros, o cualquier otro derecho de propiedad u otros derechos válidos que no sean de su propiedad sin el consentimiento de sus respectivos propietarios o de cualquier otra manera que viole los derechos de terceros.

En la medida en que los Servicios lo autoricen expresamente a hacerlo, puede descargar o copiar el contenido y otros elementos que se muestran en los Servicios para descargar, pero solo para su uso personal de acuerdo con estos Términos y solo si mantiene todos los avisos de derechos de autor, marcas comerciales y otros avisos contenidos en esos artículos. Está prohibido copiar o almacenar cualquier contenido para uso que no sea el uso personal y no comercial de acuerdo con estos Términos, sin nuestro permiso previo por escrito o del titular de los derechos de autor identificado en el aviso de derechos de autor del artículo.

Omada Health, Omada, Omada for Prevention, Omada for Type 2 Diabetes, Omada for Hypertension, Omada for Behavioral Health, Omada Complete, Omada Mind, y el logotipo O (las “Marcas de Omada”) son marcas comerciales o marcas registradas de Omada Health, Inc. Otras marcas comerciales, marcas de servicio, gráficos y logotipos que aparecen en el Sitio, las Aplicaciones u otros aspectos de los Programas Omada o de los Servicios pueden ser propiedad de terceros (“Marcas de terceros”). Ni estos Acuerdos ni el uso de ningún aspecto de los Servicios le otorgan derechos, títulos o intereses sobre una licencia para reproducir o utilizar de otro modo las Marcas de Omada o las Marcas de terceros.

  1. Rescisión

Podemos rescindir su acceso a todos o parte de los Servicios en cualquier momento, con o sin causa, con o sin aviso, con vigencia inmediata, lo que puede resultar en la pérdida y destrucción de cierta información relacionada con su cuenta. Al rescindir su derecho de uso de todos o parte de nuestros Servicios, las licencias y otros derechos que le otorguen estos Acuerdos para dichas partes de los Servicios finalizarán de inmediato.

Si desea cerrar su cuenta, puede hacerlo siguiendo las instrucciones del Sitio o comunicándose con nuestro equipo de atención al cliente por correo electrónico a support@omadahealth.com. Las tarifas pagadas por los Servicios no son reembolsables.

Todas las disposiciones de estos Términos que, por su naturaleza, deben sobrevivir a la terminación seguirán vigentes, incluidas, entre otras, las disposiciones de propiedad y licencia, las exclusiones de garantía, las disposiciones de indemnización y las limitaciones de responsabilidad.

EL CONTENIDO Y LOS SERVICIOS SE PROPORCIONAN "TAL COMO ESTÁN" Y "SEGÚN DISPONIBILIDAD" Y SIN GARANTÍA DE NINGÚN TIPO, EXPRESA O IMPLÍCITA, QUE INCLUYE, ENTRE OTRAS, LAS GARANTÍAS IMPLÍCITAS DE TÍTULO, NO INFRACCIÓN, COMERCIABILIDAD Y APTITUD PARA UN PROPÓSITO EN PARTICULAR, Y CUALQUIER GARANTÍA IMPLÍCITA POR CUALQUIER CURSO DE DESEMPEÑO O USO DEL COMERCIO, A TODOS LOS CUALES SE RENUNCIA EXPRESAMENTE. EL USO QUE HAGA DE LOS SERVICIOS ES A SU PROPIO RIESGO.  OMADA Y SUS DIRECTORES, EMPLEADOS, AGENTES, PROVEEDORES, SOCIOS Y CUALQUIER OTRA PARTE INVOLUCRADA EN LA CREACIÓN, PRODUCCIÓN O ENTREGA DEL CONTENIDO O DE LOS SERVICIOS (I) NO ASUMEN NINGUNA RESPONSABILIDAD U OBLIGACIÓN POR LA EXACTITUD, ADECUACIÓN, CUMPLIMIENTO O UTILIDAD DEL CONTENIDO O LOS SERVICIOS Y (II) NO GARANTIZAN QUE: (A) LOS SERVICIOS SEAN SEGUROS O ESTÉN DISPONIBLES EN CUALQUIER MOMENTO O UBICACIÓN EN PARTICULAR; (B) LOS DEFECTOS O ERRORES SE CORRIJAN; (C) EL CONTENIDO O SOFTWARE DISPONIBLE EN O A TRAVÉS DE LOS SERVICIOS ESTÉ LIBRE DE VIRUS U OTROS COMPONENTES PERJUDICIALES; O (D) LOS RESULTADOS DEL USO DE LOS SERVICIOS CUMPLAN CON SUS REQUISITOS O EL PROPÓSITO INDICADO.

TENGA EN CUENTA QUE ALGUNAS JURISDICCIONES NO PERMITEN LA EXCLUSIÓN DE GARANTÍAS IMPLÍCITAS, POR LO QUE LAS LIMITACIONES ANTERIORES PUEDEN NO APLICARSE EN SU CASO. SIN EMBARGO, LAS LIMITACIONES ANTES MENCIONADAS SE APLICARÁN EN LA MEDIDA MÁXIMA PERMITIDA POR LA LEY APLICABLE.

  1. Indemnización

Usted acepta defender, indemnizar y eximir de responsabilidad a las Partes de Omada de todas las obligaciones, reclamos, pérdidas, daños y gastos, incluidos los honorarios razonables de abogados, que surjan o se relacionen con: (a) el uso o mal uso de los Servicios o del contenido; (b) la realización de Presentaciones del usuario o de otros datos a cualquier Parte de Omada; (c) el incumplimiento de estos Acuerdos; (d) la violación o presunta violación de las leyes, normas o regulaciones federales, estatales o locales, nacionales o extranjeras aplicables; o (d) cualquier violación o presunta violación por parte de usted, o de un tercero que utilice su cuenta, de los derechos de propiedad intelectual u otros derechos de una persona o entidad. Omada se reserva el derecho de asumir la defensa y el control exclusivos de cualquier asunto sujeto a esta indemnización, en cuyo caso usted acepta ayudar y cooperar con Omada para hacer valer cualquier defensa disponible.

  1. Limitación de responsabilidad

EN NINGÚN CASO, LAS PARTES DE OMADA SERÁN RESPONSABLES, POR CONTRATO, DE AGRAVIOS, OBLIGACIÓN ESTRICTA, NEGLIGENCIA, O CUALQUIER OTRA TEORÍA LEGAL O EQUITATIVA EN RELACIÓN CON LOS SERVICIOS O EL CONTENIDO: (A) DE CUALQUIER DAÑO ESPECIAL, INDIRECTO, INCIDENTAL, PUNITIVO, EJEMPLAR O CONSECUENTE DE CUALQUIER TIPO, O LOS PRODUCTOS O SERVICIOS SUSTITUTOS (QUE SURGIERAN); (B) DE CUALQUIER ERROR, VIRUS, TROYANOS O SIMILARES (INDEPENDIENTEMENTE DE LA FUENTE DE ORIGEN); (C) DEL USO O INCAPACIDAD DE USO, O DEPENDENCIA DE LOS SERVICIOS O DEL CONTENIDO; O (D) DE LAS DECLARACIONES O CONDUCTA DE TERCEROS CON RESPECTO A NUESTROS SERVICIOS. ADEMÁS, LA RESPONSABILIDAD MÁXIMA DE LAS PARTES DE OMADA PARA CON USTED POR DAÑOS, PÉRDIDA Y CAUSA DE ACCIÓN DERIVADAS O RELACIONADA CON LOS SERVICIOS SE LIMITA AL MÁXIMO DE (I) EL MONTO PAGADO POR USTED PARA ACCEDER A NUESTROS SERVICIOS O USARLOS, O (II) TRESCIENTOS DÓLARES ESTADOUNIDENSES (USD 300,00).   

USTED RECONOCE Y ACEPTA QUE LAS LIMITACIONES ESTABLECIDAS EN ESTA SECCIÓN SON ELEMENTOS FUNDAMENTALES DE ESTOS ACUERDOS Y QUE LOS SERVICIOS NO SE PROPORCIONARÁN SIN ESTAS LIMITACIONES. USTED ACEPTA QUE LAS LIMITACIONES DE RESPONSABILIDAD EN ESTA SECCIÓN REPRESENTAN UNA ATRIBUCIÓN RAZONABLE DE RIESGO Y SON UN ELEMENTO FUNDAMENTAL DE LA BASE DE LA NEGOCIACIÓN ENTRE OMADA Y USTED.

ALGUNOS ESTADOS NO PERMITEN LA EXCLUSIÓN O LIMITACIÓN DE DAÑOS INCIDENTALES O CONSECUENTES, POR LO QUE ES PROBABLE QUE ALGUNAS DE LAS LIMITACIONES Y EXCLUSIONES ANTERIORES NO SE APLIQUEN EN SU CASO SI RESIDE EN UNA DE ESAS JURISDICCIONES. SI SE DETERMINA QUE ALGUNA PARTE DE ESTA LIMITACIÓN DE RESPONSABILIDAD NO ES VÁLIDA, LA RESPONSABILIDAD SE LIMITA A LA MEDIDA MÁXIMA PERMITIDA POR LA LEY.

Cualquier reclamo contra Omada que surja en relación con su acceso o uso de los Servicios debe presentarse ante Omada dentro de un (1) año a partir de la fecha del evento que dio lugar a ese reclamo.

  1. Uso internacional

Omada proporciona los Servicios solo a personas que residen en los Estados Unidos de América y sus territorios. Omada no garantiza que los Servicios sean apropiados o estén disponibles para su uso en ubicaciones fuera de los Estados Unidos, y el acceso a los Servicios está prohibido en los territorios donde dichos Servicios son ilegales. Si accede a los Servicios desde otros lugares, lo hace bajo su propia iniciativa y riesgo, y es responsable del cumplimiento de las leyes locales.

  1. Ley aplicable y resolución de disputas

Se admitirá una versión impresa de estos Acuerdos y de cualquier notificación proporcionada en forma electrónica en los procedimientos judiciales o administrativos relacionados con estos Acuerdos, en la misma medida y sujeto a las mismas condiciones que otros documentos y registros comerciales originalmente generados y mantenidos en forma impresa.

Estos Acuerdos se regirán e interpretarán de acuerdo con las leyes del estado de California, excepto sus conflictos de leyes y las leyes de los Estados Unidos de América. Para todos los propósitos de estos Acuerdos, las partes otorgan su consentimiento a la jurisdicción y competencia exclusiva en los Tribunales Federales de los Estados Unidos ubicados en el distrito norte de California o en un tribunal estatal del condado de San Francisco, California.

Cualquier disputa que surja del asunto de estos Acuerdos o esté relacionada con este se resolverá finalmente mediante un arbitraje vinculante en el condado de San Francisco, California, utilizando el idioma inglés de acuerdo con las Reglas y Procedimientos de Arbitraje de Judicial Arbitration and Mediation Services, Inc.(“JAMS”) en efecto, por un árbitro comercial con experiencia sustancial en la resolución de disputas de propiedad intelectual y contratos comerciales, quien se seleccionará de la lista correspondiente de árbitros de JAMS, de acuerdo con las Reglas y Procedimientos de Arbitraje Integrales de JAMS. La parte que prevalezca en el arbitraje tendrá derecho a recibir el reembolso de sus gastos razonables (incluidos los honorarios razonables de abogados, honorarios de testigos expertos y todos los demás gastos) incurridos en relación con ello. El fallo sobre el laudo así dictado puede presentarse en un tribunal que tenga jurisdicción o se puede presentar una solicitud a dicho tribunal para la aceptación judicial de cualquier laudo y una orden de ejecución, según sea el caso. Sin perjuicio de las disposiciones de arbitraje, cada parte tendrá derecho a iniciar una acción en un tribunal de jurisdicción apropiada por medidas cautelares u otras medidas equitativas en espera de una decisión final del árbitro.

SOLO PUEDE RESOLVER DISPUTAS CON NOSOTROS SOBRE UNA BASE INDIVIDUAL, Y NO PUEDE PRESENTAR UNA RECLAMACIÓN COMO DEMANDANTE O COMO MIEMBRO DE UNA DEMANDA COLECTIVA, EN UNA DEMANDA COLECTIVA, CONSOLIDADA O REPRESENTATIVA. NO SE PERMITEN ACCIONES DE CLASE, ARBITRAJES DE CLASE, ACCIONES GENERALES DE ABOGADO PRIVADO NI CONSOLIDACIÓN CON OTROS ARBITRAJES.

El uso de los Servicios no está autorizado en ninguna jurisdicción que no dé efecto a esta Sección ni a ninguna otra disposición de estos Acuerdos.

  1. Integración y divisibilidad

Estos Términos, la Política de privacidad y el Aviso de prácticas de privacidad de la HIPAA, así como cualquier otro acuerdo al que se haga referencia en este documento, constituyen el acuerdo completo entre usted y nosotros con respecto a los Servicios, y reemplazan todas las comunicaciones y propuestas anteriores o contemporáneas (ya sean orales, escritas o electrónicas) entre usted y nosotros con respecto a los Servicios. Si se determina que alguna disposición de estos Acuerdos es inaplicable o inválida, esa disposición se limitará o eliminará en la medida mínima necesaria para que estos Acuerdos sigan teniendo plena vigencia y efecto, y sean ejecutables. El hecho de que una parte no ejerza en algún momento los derechos previstos en estos Acuerdos no se considerará una renuncia a ejercer ningún otro derecho en virtud de estos Acuerdos.

  1. Varios

No seremos responsables de ningún incumplimiento de las obligaciones estipuladas en el presente documento en la medida en que resulte de cualquier causa que esté más allá de nuestro control razonable, incluidos, entre otros, desastres naturales y fallas o degradaciones mecánicas, electrónicas o de comunicaciones.

Estos acuerdos son personales para usted y no se pueden asignar, transferir ni otorgar como sublicencia, excepto con nuestro consentimiento previo por escrito. Podemos asignar, transferir o delegar cualquiera o todos nuestros derechos y obligaciones en virtud de estos Acuerdos sin consentimiento. Nuestros licenciatarios y proveedores de aplicaciones pueden tener derecho a hacer cumplir estos acuerdos como beneficiarios de terceros; de lo contrario, no existen otros beneficiarios de terceros en estos acuerdos. No se creará ninguna agencia, sociedad, empresa conjunta o relación laboral como resultado de estos Acuerdos. Todos los avisos realizados en virtud de estos Acuerdos se comunicarán por escrito y se considerarán debidamente entregados (a) cuando se reciban, si se entregan personalmente o se envían por correo certificado o registrado, y se solicita el acuse de recibo; (b) cuando el recibo se confirme electrónicamente, si se transmite por fax o correo electrónico; o (c) el día posterior al envío, si se envía para entregar al día siguiente por un servicio reconocido de entrega durante la noche.

  1. Política de la Ley de derechos de autor para medios digitales en el nuevo milenio

Si tiene evidencia, sabe o cree de buena fe que sus derechos o los derechos de un tercero han sido violados, y desea que eliminemos, editemos o deshabilitemos el material en cuestión, debe proporcionarnos toda la siguiente información: (a) una firma física o electrónica de una persona autorizada para actuar en nombre del propietario del derecho exclusivo presuntamente violado; (b) identificación de la obra protegida por derechos de autor que supuestamente se ha violado, o, si varias obras protegidas por derechos de autor están cubiertas por un solo aviso, una lista representativa de tales obras; (c) identificación del material que se alega que se ha violado o que es objeto de una actividad infractora, y que debe eliminarse o cuyo acceso se deshabilitará, e información razonablemente suficiente para permitirnos localizar el material; (d) información razonablemente suficiente para permitir que nos comuniquemos con usted, como dirección, número de teléfono y, si está disponible, una dirección de correo electrónico a la que pueda ser contactado; (e) una declaración de que usted cree de buena fe que el uso del material en la forma reclamada no está autorizado por el propietario de los derechos de autor, su agente o la ley; y (f) una declaración de que la información en la notificación es precisa y, bajo pena de perjurio, que está autorizado a actuar en nombre del propietario de un derecho exclusivo que supuestamente se ha violado.   1. Declaración de no discriminación y asistencia idiomática

Welcome to the Omada behavioral counseling program for individuals at risk for type 2 diabetes and cardiovascular disease and individuals with type 2 diabetes (the “Omada Program”), accessible at go.omadahealth.com (the “Site”) or through Omada’s mobile application (the “Mobile App”). The Omada Program, the Site (and the other websites we own or operate, including, without limitation, www.omadahealth.com) and the Mobile App shall be collectively referred to herein as the “Services”. Please read these Terms of Use (the “Terms”) and our Privacy Policy (go.omadahealth.com/privacy) and HIPAA Notice (go.omadahealth.com/hipaa) carefully before using the Services because they govern your use of the Services. By accessing or using the Services, you agree to be bound by these Terms.

These Terms constitute a binding legal agreement between you, as a user of the Services, and Omada Health, Inc. (“Company”, “we” or “us”). If you have been authorized to, and are helping another person apply for and/or use the Services, these Terms constitute a legally binding agreement between both the helper and the person being helped and Company.

IF YOU ARE NOT WILLING TO BE OR CANNOT BE BOUND BY THESE TERMS, THEN YOU MAY NOT ACCESS, BROWSE OR USE THE SERVICES. MOREOVER, WE DO NOT AND WILL NOT GRANT YOU ANY RIGHT OR LICENSE TO ACCESS, BROWSE OR USE THE SERVICES WITHOUT YOUR WILLINGNESS AND ABILITY TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS SET FORTH HEREIN.

THE SERVICES ARE NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, AND WHILE THE SERVICES PROVIDE INFORMATION, WE CANNOT AND DO NOT DIAGNOSE YOUR HEALTH CONDITIONS. We reserve the right, at our discretion, to modify, replace, update or change any of these Terms at any time and for any reason. Any changes, revisions or modifications to these Terms shall become effective upon posting by the Company on the Site, the Mobile App, via the Service or by sending you an email or other notification. It is your responsibility to check these Terms periodically for changes. By continuing to use the Services, you agree to accept all such changes, revisions or modifications to the Terms.

If you accept these Terms but later decide that you want to terminate your account, please contact Customer Support at support@omadahealth.com, and we will verify and complete your request.

1. Applicability of These Terms

Your access to and use of the Services is expressly conditioned on your acceptance of and compliance with these Terms. These Terms apply to all users of the Services. If you do not agree with these Terms, you are not authorized to access or use any portion of the Services in any manner or for any purpose.

Your use of any Services with which we may be affiliated may be subject to additional terms, including terms and conditions provided by a third party. If you do not agree with any of these additional terms and conditions, you are not authorized to use the Services subject to such additional terms.

In order to receive our Services, you must register as more fully described below in the section entitled “Registration.” The Services are available only to individuals who are at least 18 years old, and the Omada Program is available only to individuals that meet the applicable clinical enrollment criteria. You represent and warrant that you have the right, authority and capacity to enter into these Terms and are at least 18 years old. In addition, you represent and warrant that (1) all registration information that you submit or that is submitted on your behalf is complete, accurate and truthful, and (2) in the event that you allow a third party to assist you in providing any information, including in completing the application and submitting any registration information to us, you have reviewed and confirmed that all such registration information is complete, accurate and truthful prior to its submission to us.

Company may, in its sole discretion, refuse to offer the Services to any person or entity and change our clinical enrollment criteria for the Omada Program at any time for any reason. This provision is void where prohibited by law, and the right to access the Services is revoked in such jurisdictions.

Company reserves the right, at its discretion, to change, modify, replace suspend, or discontinue the Services or any component thereof (including without limitation, the availability of any feature, specification, database, or content) at any time and for any reason. Company will not be liable to you for any such change, modification, replacement, suspension or discontinuation of your rights to access and use the Services. Company may also impose limits on certain features and services or restrict your access to parts or all of the Services without notice or liability.

2. Our Services

As part of the Services, we offer group-based digital behavioral counseling programs to certain individuals at risk cardiovascular disease and at risk for or living with type 2 diabetes for changing behaviors that can help to reduce the risk of such chronic diseases, or in the case of those individuals living with type 2 diabetes, for changing behaviors that can help them live well with such disease.

Our Services may include, without limitation, the following:

  • The ability to create, upload, transmit, display and access health information shared by you and others through our Services, augmented with information collected about you through authorized third parties (e.g., FitBit and Apple), and to build an online community related to your weight loss and/or weight maintenance goals and health goals.
  • Access to other information about Company and our products and/or services through the various websites we own and operate, including, without limitation, the omadahealth.com website and domain name, and any other features, content, or applications offered from time to time by Company in connection therewith.
  • The ability to interact with relevant Company personnel in a timely and effective manner from the time of your initial application for the Omada Program and throughout the course of your access to and use of the Services, including but not limited to Company’s health coaches and customer support team.
  • The ability to interact with other users of our Services from the time of your registration in the Omada Program and throughout the course of your access and use of our Services.
  • Providing you information on health-related products and services, treatment alternatives and any other information related to your condition.

You may use the Site and/or the Mobile App to access and use the Omada Program. In order to access and use the Mobile App, you must download it from a digital distribution platform, such as the Apple App Store or Google Play (the “Mobile App Provider”). You acknowledge and agree that: (i) these Terms are entered into between you and us, and not with the Mobile App Provider, and that we are solely responsible for the Mobile App (not the Mobile App Provider); (ii) the Mobile App Provider has no obligation to furnish any maintenance and support services with respect to the Mobile App; (iii) the Mobile App Provider is not responsible for addressing any claims you have or any claims of any third party relating to the Mobile App or your possession and use of the Mobile App, including, but not limited to: (a) product liability claims, (b) any claim that the Mobile App fails to conform to any applicable legal or regulatory requirement, and (c) claims arising under consumer protection or similar legislation; (iv) in the event of any third party claim that the Mobile App or your possession and use of that Mobile App infringes that third party’s intellectual property rights, we will be responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim to the extent required by these Terms; and (v) you must also comply with all applicable third party terms of service when using the Services.

3. No Medical Advice

THE SERVICES DO NOT INCLUDE THE PROVISION OF ANY MEDICAL ADVICE OR TREATMENT BY COMPANY. RATHER, THE SERVICES ENABLE REGISTERED USERS TO ACCESS DIGITAL CONTENT AND HEALTH COACHING TOOLS AND RESOURCES, INCLUDING A HEALTH COACH WHO MAY PROVIDE YOU WITH LIMITED WEB-, TELEPHONE-, SMS-, OR EMAIL-BASED SUPPORT. COMPANY DOES NOT EMPLOY OR CONTRACT WITH PHYSICIANS TO PROVIDE MEDICAL CARE TO YOU - COMPANY’S HEALTH COACHES ARE NOT LICENSED PHYSICIANS OR LICENSED HEALTH CARE PROVIDERS. WHILE THE SERVICES PROVIDE INFORMATION, COMPANY CANNOT AND DOES NOT DIAGNOSE YOUR HEALTH CONDITIONS OR OTHERWISE PROVIDE YOU WITH ANY MEDICAL ADVICE OR TREATMENT. ANY CONTENT PROVIDED OR ACCESSED THROUGH THE SERVICES, INCLUDING BUT NOT LIMITED TO INFORMATION PROVIDED BY OUR PERSONNEL, IS FOR INFORMATIONAL PURPOSES ONLY. COMPANY IS NOT RESPONSIBLE OR LIABLE FOR ANY ADVICE, COURSE OF TREATMENT, DIAGNOSIS OR ANY OTHER INFORMATION, SERVICES OR PRODUCTS THAT YOU MAY OBTAIN IN CONNECTION WITH OR AS A RESULT OF USING THE SERVICES.

4. No Emergency Services

THE SITE, THE MOBILE APP AND THE SERVICES ARE FOR NON-EMERGENCY PURPOSES ONLY. DO NOT ATTEMPT TO ACCESS EMERGENCY CARE THROUGH THE SITE, THE MOBILE APP OR THE SERVICES. IF AT ANY TIME YOU ARE CONCERNED ABOUT YOUR CARE OR TREATMENT, OR IF YOU THINK YOU HAVE A MEDICAL EMERGENCY, CALL 911 OR GO TO THE NEAREST OPEN EMERGENCY ROOM.

THE SERVICES ARE NOT INTENDED TO SUPPORT OR CARRY EMERGENCY OR TIME-CRITICAL CALLS OR COMMUNICATIONS TO ANY TYPE OF HOSPITAL, LAW ENFORCEMENT AGENCY, MEDICAL CARE UNIT, OR ANY OTHER KIND OF EMERGENCY OR TIME-CRITICAL SERVICE.

If Company becomes aware of or contemplates an emergency that threatens your life, health or security, Company may, at its sole discretion secure from any licensed hospital, physician, and/or medical personnel (“Emergency Responders”) any emergency treatment deemed necessary by Company for your immediate care. You understand and agree that, in the event that Company does take any action with respect to securing Emergency Responders on your behalf, you, not Company, will be solely responsible for payment of any and all medical services rendered in connection with any such treatment.

5. Privacy and Your Personal Information

Company’s privacy policy is located at go.omadahealth.com/privacy (the “Privacy Policy”) and is expressly incorporated into these Terms. The Privacy Policy discloses Company’s practices regarding the collection, use, disclosure and otherwise processing of your personal information that you create, upload, transmit or display while using the Services. By agreeing to these Terms, you are also agreeing to the terms of Company’s Privacy Policy and consenting to the use and disclosure of information provided to Company as set forth herein. For inquiries in regard to the Privacy Policy or to report a privacy-related problem, please contact privacy@omadahealth.com.

The Services include the ability to connect with a small social network of people diagnosed with or prescreened for certain medical conditions, including prediabetes, glucose intolerance, metabolic syndrome, borderline diabetes, cardiovascular disease or type 2 diabetes. BY VISITING OR USING THE SERVICES, YOU CONSENT TO OUR COLLECTION, USE AND DISCLOSURE OF YOUR PERSONAL INFORMATION, INCLUDING HEALTH-RELATED INFORMATION SUCH AS YOUR MEDICAL CONDITIONS, IN ACCORDANCE WITH OUR PRIVACY POLICY. IF YOU DO NOT CONSENT TO THE DISCLOSURE OF THIS INFORMATION, YOU SHOULD NOT ACCESS OR USE THE SITE, MOBILE APP OR THE SERVICES.

By posting, creating, using, transmitting, and disclosing data, including your personal health information through User Submissions (as defined below) or otherwise through your use of the Services, you hereby irrevocably and unconditionally acknowledge and agree that all such data is owned by Company, subject to Company’s compliance with the Privacy Policy and all applicable federal, state and provincial privacy laws.

6. Rules and Conduct

As a condition to using the Services, you agree not to use the Services for any purpose that is prohibited by these Terms or by applicable law. The Services (including, without limitation, any Content or User Submissions (both as defined below)) are provided only for your own personal, non-commercial, limited use in accordance with these Terms. You are responsible for all of your activity in connection with the Services. For purposes of these Terms, the term “Content” includes, without limitation, any advertisements, advice, suggestions, videos, audio clips, written forum comments, information, materials, data (obtained about you through the Services or from third parties), text, photographs, images, software, scripts, art, graphics, logos, button icons and interactive features generated, provided, or otherwise made accessible by or to Company or its partners on or through the Services.

By way of example, and not limitation, you shall not, and shall not permit any third party to, directly or indirectly (a) take any action or (b) upload, download, post, submit or otherwise distribute or facilitate distribution of any content on or through the Services, that:

  • infringes any patent, trademark, trade secret, copyright, right of publicity or other right of any other person or entity;
  • is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another’s privacy, tortious, obscene, offensive, or profane;
  • constitutes unauthorized or unsolicited advertising, junk or bulk e-mail (“spamming”);
  • involves commercial activities and/or sales without Company’s prior written consent such as contests, sweepstakes, barter, advertising, or pyramid schemes;
  • contains software viruses or any other computer codes, files, or programs that are designed or intended to disrupt, damage, limit or interfere with the proper function of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any system, data, password or other information of Company or any third party; or
  • impersonates any person or entity, including any employee or representative of Company.

Additionally, you shall not: (a) take any action that imposes or may impose (as determined by Company in its sole discretion) an unreasonable or disproportionately large load on Company’s (or its third party providers’) infrastructure; (b) interfere or attempt to interfere with the proper working of the Services or any activities conducted on the Services; (c) bypass any measures Company may use to prevent or restrict access to the Services (or other accounts, computer systems or networks connected to the Services); (d) run Maillist, Listserv, any form of auto-responder or “spam” on the Services; or (e) use manual or automated software, devices, or other processes to “crawl” or “spider” any page of the Site.

You shall not (directly or indirectly): (a) decipher, decompile, disassemble, reverse engineer or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the Service, except to the limited extent applicable laws specifically prohibit such restriction; (b) modify, translate, or otherwise create derivative works of any part of the Services; or (c) copy, rent, lease, distribute, or otherwise transfer any or all of the rights that you receive hereunder. You shall abide by all applicable local, state, provincial, national and international laws and regulations.

Company reserves the right to remove any User Submissions or other Content from the Site, the Mobile App or the Services at any time for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such Content or if Company is concerned that you may have violated these Terms), or for no reason at all.

7. Registration; Computer Equipment and Internet Services; Consent to Receive Email/Phone Communications

As a condition to using the Omada Program, you will be required to register with Company and select a password and screen name (“Company User ID”). You shall provide Company with true, accurate, complete, and current registration information any time you register to use the Omada Program and maintain and update promptly any changes to such information. Failure to do so shall constitute a breach of these Terms, which may result in immediate termination of your account.

You shall not (a) select or use as a Company User ID a name of another person with the intent to impersonate that person; (b) use as a Company User ID a name subject to any rights of a person other than you without appropriate authorization; or (c) use as a Company User ID a name that is otherwise offensive, vulgar or obscene. Company reserves the right to refuse registration of or cancel a Company User ID in its sole discretion. You are solely responsible choosing your Company User ID and for activity that occurs on your account. Additionally, you shall be responsible for setting your account password, as well as maintaining its confidentiality – any sharing, disclosing, permitting access to or otherwise facilitating the use by any person of your user name and password is expressly prohibited. You shall never use another user’s account without such other user’s express permission. You will immediately notify Company in writing of any unauthorized use of your password or account or any other security breach of which you become aware.

As a condition of using our Site and/or Mobile App and participating in our Services, you will be required to provide Company with your email address and phone number as part of registration. As part of the Services, you will receive from us email and other communications (e.g., SMS messages, voice calls and push notifications) relating to your use of our Site, the Mobile App and/or your participation in our Services. By disclosing this contact information or otherwise participating in the Services or sending electronic communications through the Services, including the Site or the Mobile App, you acknowledge and agree that we may send you communications through registered mail, email and other electronic communications, SMS messages, voice calls, push notifications or otherwise, that we determine, in our sole discretion, are related to your use of or participation in our Services. As part of using our Services, you agree to receive all agreements, notices, disclosures and other communications that we provide to you in electronic form and acknowledge that receipt of such documents in electronic form satisfies any legal requirement that such communications be in writing. Your consent to receive electronic notices, disclosures and communications includes (i) any notice, record or other type of communication or information that is provided to you in connection with your application, registration or enrollment in the Services, (ii) all communications and disclosures relating to your use of or participation in the Services and (iii) all communications and disclosures relating to the Services that we are required by law or these Terms to provide to you. Any electronic communications that we send you will be deemed to have been provided on the date that we deliver the electronic communication to you.

With the exception of the Services, you are responsible for obtaining, installing, maintaining and operating all software, hardware or other equipment (collectively, “Systems”) necessary for you to access and use the Services, as well as Internet services via the Internet service provider of your choice and any wireless services your require (the “Connections”). This responsibility includes, without limitation, your utilizing current versions of web-browsers and appropriate encryption, antivirus, anti-spyware, and Internet security software. By checking the checkbox affirming your consent to these Terms, you demonstrate that you can access information that we provide to you by posting electronic communications on the Site or via email and otherwise confirm that you are able to access and use the Site and the Services and receive emails from us.

In connection with your use of the Services, you understand and acknowledge the following:

  • There are certain security, corruption, transmission error, and access availability risks associated with using open networks such as the Connections, and you hereby expressly assume such risks.
  • You are responsible for the data security of the Systems used to access the Services and for the transmission and receipt of information using such Systems.
  • You have requested access to the Services, made your own independent assessment of the adequacy of the Connections and Systems, and are satisfied with that assessment.
  • We are not responsible for any errors or problems that arise from the malfunction or failure of the Connections or the Systems.
  • We may enable the use of geolocation services with our Mobile App. We may use this geolocation information to provide features of the Services and to improve and customize the Services. If you do not want us to use geolocation data from you mobile device, you may set your location preferences on your device accordingly.

WHEN YOU CONTACT US BY EMAIL OR TEXT, WE HAVE NO WAY OF PROTECTING YOUR INFORMATION UNTIL IT REACHES US SINCE EMAIL AND TEXT MESSAGING AND THE COMMUNICATION LINES SUCH COMMUNICATIONS TRAVEL OVER DO NOT HAVE THE SECURITY FEATURES THAT ARE BUILT INTO OUR SERVICES AND MAY NOT BE SECURE. BY SENDING ANY INFORMATION TO US VIA EMAIL OR TEXT, OR AGREEING TO RECEIVE ELECTRONIC COMMUNICATIONS FROM US THROUGH EMAIL OR TEXT, YOU ACKNOWLEDGE AND ACCEPT ANY RISK AND DAMAGE ARISING FROM DISCLOSURE OF SUCH INFORMATION IN THE COURSE OF TRANSMISSION.

8. Fees and Payment

Company reserves the right to require payment of fees for certain features of the Services. Should you elect to subscribe to such features, you shall pay all applicable fees, as described in the Services in connection with such features.

NOT APPLICABLE TO RESIDENTS OF QUÉBEC

Company reserves the right to change its price list and to institute new charges at any time, upon prior notice to you, which may be sent by email or posted on the Services. Use of the Services by you following such notification constitutes your acceptance of any new or increased charges.

9. Third-Party Websites and Materials

The Services may allow you to display, use, include or make available content, data, information, applications or materials from third parties (“Third Party Materials”) or provide links to certain third party websites (“Third Party Websites”). For example, the Services integrate and use a scale through technology provider BodyTrace. In such case, before using these Services, you must agree to the BodyTrace: BodyTrace: Terms of Use and BodyTrace: Privacy Policy. The Services also integrate with certain activity trackers that constitute Third Party Materials and/or Third Party Websites, such as those provided by FitBit and Apple.

When you use any Third Party Materials or access any Third Party Websites, you do so at your own risk, and you understand and agree that you are solely responsible for reading and understanding any terms of use and/or privacy policies that apply to such Third Party Materials or Third Party Websites. Company also does not accept any responsibility for technical failures or for unauthorized access of user transmissions by any third parties.

The providers of Third Party Materials and Third Party Websites (each, a “Third Party Service Provider”) may collect and use certain information about you, as specified in their privacy policies and terms of use. Prior to using or providing any information to any Third Party Service Provider, you should review their privacy policy and terms of use. If you do not understand or do not agree to the terms of a Third Party Service Provider’s privacy policy and/or terms of use, you should not use the related third party services.

COMPANY HEREBY DISCLAIMS ALL RESPONSIBILITY AND LIABILITY FOR ANY OF YOUR INFORMATION COLLECTED OR USED BY ANY THIRD PARTY SERVICE PROVIDER. IN ADDITION, YOU AGREE THAT COMPANY WILL HAVE NO RESPONSIBILITY OR LIABILITY FOR ANY INFORMATION, SOFTWARE, MATERIALS OR SERVICES PROVIDED BY ANY THIRD PARTIES, INCLUDING WITHOUT LIMITATION ANY THIRD PARTY SERVICE PROVIDERS LINKED THROUGH THE SERVICES, AND YOU AGREE TO ASSUME ALL RESPONSIBILITY AND LIABILITY FOR ANY DAMAGES, LOSS, OR OTHER HARM, WHETHER TO YOU OR TO THIRD PARTIES, RESULTING FROM OR ALLEGED TO HAVE RESULTED FROM YOUR USE OF THIRD PARTY MATERIALS AND THIRD PARTY WEBSITES.

10. Company, Content, Intellectual Property

The Services and the Content are protected under Canada, United States and international intellectual property, copyright, trademark, patent, trade secret and other laws. The Site, the Mobile App, the Services and the Content are the sole property of Company. You shall abide by all copyright notices, information, and restrictions contained in any Content accessed through the Services. You shall not sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, create derivative works from, or otherwise exploit the Services or any Content or third party submissions or other proprietary rights not owned by you, (a) without the consent of the respective owners or other valid right, and (b) in any way that violates any third party right.

You may, to the extent the Services expressly authorize you to do so, download or copy the Content, and other items displayed on the Services for download, for personal use only in accordance with these Terms, provided that you maintain all copyright, trademark and other notices contained in such Content. You shall not store any significant portion of any Content in any form. Copying or storing of any Content for other than personal, noncommercial use in accordance with these Terms is expressly prohibited without prior written permission from Company, or from the copyright holder identified in such Content’s copyright notice. You acknowledge that all Content accessed by you using the Services is accessed at your own risk and that you will be solely responsible for any damage or loss to any party resulting therefrom. Under no circumstances will Company be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred in connection with use of or exposure to any Content posted, emailed, accessed, transmitted or otherwise made available via the Services.

Subject to your compliance with these Terms, as revised (and any other terms governing your use of the Services) you are granted a personal, non-exclusive, non-transferable, non-sublicenseable, revocable, limited right to enter our Site, download and use the Mobile App and use the Services. All rights in and to the Site, the Mobile App and the Services not expressly granted in these Terms are hereby reserved and retained by Company.

Omada Health, Omada and the O logo (the “Company Marks”) are trademarks or registered trademarks of Omada Health, Inc. Other trademarks, service marks, graphics and logos appearing on the Site, the Mobile App or the Services may be the property of third parties (the “Third Party Marks”). Neither your use of the Site, the Mobile App or the Services nor these Terms grant you any right, title or interest in or to, or any license to reproduce or otherwise use, the Company Marks or any Third Party Marks.

11. User Submissions

The Services may provide you with the ability to create, upload, submit (through our Site, the Mobile App, through our personnel or through third-party websites, software, tools or other resources), disclose, distribute or otherwise post (hereafter, “posting”) content (including, without limitation, personal health information, activity tracking, food tracking and sleep tracking), videos, audio clips, written comments, data, text, photographs, software, scripts, graphics, works of authorship or other information related to the Services, including without limitation any feedback or suggestions for improvements, enhancements, or error corrections (collectively, “User Submissions”). You represent and warrant to us that (i) you own all rights, title and interest in and to your User Submissions or are otherwise authorized to grant the rights provided to Company herein and (ii) that doing so will not violate any law or infringe upon or violate the rights of any person or entity.

By posting User Submissions on or through the Services or otherwise providing feedback to us (e.g., in responding to surveys or questionnaires), whether solicited or unsolicited by us, including without limitation any individually identifiable health or personal information you submit to us, you hereby irrevocably and unconditionally assign to us all right, title, and interest in and to any such User Submissions (including, without limitation, any modifications, reproductions, or derivative works thereof), and all User Submissions, you supply to us through the Site, the Mobile App or the Services shall be deemed and shall remain our property, subject to Company’s compliance with these Terms, the Privacy Policy and all applicable federal, state and provincial privacy laws. You further understand in creating, using and disclosing such User Submissions. Except as provided in the Privacy Policy, none of the User Submissions shall be subject to any obligation of confidence on our part, and you agree to waive any and all claims arising from or relating to the exercise by Company of the rights granted herein.

You understand that Company shall have the right to de-identify all User Submissions in accordance with applicable law and use such de-identified data for its own business purposes, as well as reformat, excerpt, or translate any materials, content or information submitted by you, including all User Submissions.

By providing you with the ability to distribute User Submissions through the Services, Company is not undertaking any obligation or liability relating to any User Submissions or activity related thereto, nor does Company endorse any such User Submissions or activities. Company cannot guarantee the authenticity of any data which users may provide about themselves through the Services.

You acknowledge that all User Submissions are the sole responsibility of the person who made such User Submissions. This means that you are entirely responsible for all User Submissions that you upload, post, transmit or otherwise display to the Site, the Mobile App and the Services. We do not control the User Submissions uploaded, posted, transmitted or otherwise displayed on our Services by others; therefore, we do not guarantee the accuracy, integrity or quality of such User Submissions. You understand and agree that you may be exposed to User Submissions that are offensive or objectionable by using the Services. Although we reserve the right, Company has no obligation to monitor the Site, Mobile App, Services, Content, or User Submissions. Company may edit, modify, suspend or remove any User Submission at any time for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such User Submission, in order to comply with applicable laws or failure to adhere to community standards and conduct guidelines set forth in these Terms or otherwise established by Company), or for no reason at all. COMPANY DISCLAIMS ANY ACTUAL OR IMPLIED DUTY TO MONITOR USER SUBMISSIONS AND SPECIFICALLY DISCLAIMS ANY RESPONSIBILITY OR LIABILITY FOR ANY USER SUBMISSIONS OR OTHER INFORMATION PROVIDED THROUGH THE SERVICES.

In order to use the Services, you are required to create a public profile, which may contain certain identifying information (such as age, profile photos, location, etc.). It is the responsibility of each user to provide current and accurate information, and Company does not, and cannot, investigate information contained in member public profiles or guarantee its accuracy. As a result, Company must assume that information contained in each user public profile is current and accurate. COMPANY DOES NOT REPRESENT, WARRANT OR GUARANTEE THE CURRENCY OR ACCURACY OF PUBLIC PROFILE INFORMATION FOR ANY USER AND HEREBY DISCLAIMS ALL RESPONSIBILITY AND LIABILITY FOR ANY INFORMATION PROVIDED BY USERS BY MEANS OF PUBLIC PROFILES OR OTHERWISE IN CONNECTION WITH THEIR USE OF THE SERVICES.

12. Termination

NOT APPLICABLE TO RESIDENTS OF QUÉBEC

Company may terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately, which may result in the forfeiture and destruction of all information associated with your account. Upon termination of your right to use our Services, including the Site and the Mobile App, or our termination of the Services, all licenses and other rights granted to you by these Terms will immediately terminate.

If you wish to terminate your account, you may do so by following the instructions on the Site or contacting our customer support team at support@omadahealth.com. Any fees paid hereunder are non-refundable. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

13. Warranty Disclaimer

NOT APPLICABLE TO RESIDENTS OF QUÉBEC

Company has no special relationship with or fiduciary duty to you. THE SERVICES (INCLUDING, WITHOUT LIMITATION, ANY CONTENT) ARE PROVIDED “AS IS” AND “AS AVAILABLE” AND ARE WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES IMPLIED BY ANY COURSE OF PERFORMANCE OR USAGE OF TRADE, ALL OF WHICH ARE EXPRESSLY DISCLAIMED. COMPANY, AND ITS DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, PARTNERS OR ANYONE ELSE INVOLVED IN CREATING, PRODUCING OR DELIVERING THE SERVICES OR THE INFORMATION, SERVICES AD MATERIALS CONTAINED THEREIN (I) DO NOT ASSUME ANY LIABLITY OR RESPONSIBILITY FOR THE ACCURACY, COMPLETENESS OR USEFULNESS OF ANY INFORMATION, SERVICES AND MATERIALS PROVIDED ON OR THROUGH THE SERVICES AND (II) DO NOT WARRANT THAT: (A) THE SERVICES WILL BE SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) ANY CONTENT OR SOFTWARE AVAILABLE AT OR THROUGH THE SERVICES IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS OR THE STATED PURPOSE. YOUR USE OF THE SERVICES IS SOLELY AT YOUR OWN RISK.

PLEASE NOTE THAT SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

14. Indemnification

You shall defend, indemnify, and hold harmless Company, its affiliates and each of its, and its affiliates employees, contractors, directors, suppliers and representatives from all liabilities, claims, and expenses, including reasonable attorneys’ fees, that arise from or relate to: (a) your use or misuse of, or access to, the Services, Content or otherwise from your provision to Company or any of the indemnified parties of any User Submissions or other data; (b) your breach of these Terms; (c) your violation or alleged violation of any applicable foreign or domestic federal, state or local laws, rules and/or regulations; or (d) infringement or alleged infringement by you, or any third party using your account, of any intellectual property or other right of any person or entity. Company reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will assist and cooperate with Company in asserting any available defenses.

15. Limitation of Liability

NOT APPLICABLE TO RESIDENTS OF QUÉBEC

IN NO EVENT SHALL COMPANY, ITS AFFILIATES NOR ITS OR THEIR DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, THIRD PARTY SERVICE PROVIDERS, LICENSORS OR CONTENT PROVIDERS, BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR ANY OTHER LEGAL OR EQUITABLE THEORY WITH RESPECT TO THE SERVICES (INCLUDING, WITHOUT LIMITATION, ANY CONTENT): (A) FOR ANY LOST PROFITS, DATA LOSS, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER, SUBSTITUTE GOODS OR SERVICES (HOWEVER ARISING); (B) FOR ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE (REGARDLESS OF THE SOURCE OF ORIGINATION); (C) FOR YOUR USE OR INABILITY TO USE OR RELIANCE ON THE SERVICES OR ANY CONTENT OR OTHER MATERIALS AVAILABLE THROUGH THE SERVICES; (D) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; OR (E) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON OUR SERVICES.

THE MAXIMUM LIABILITY OF COMPANY, ITS AFFILIATES AND ITS OR THEIR DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, THIRD PARTY SERVICE PROVIDERS, LICENSORS OR CONTENT PROVIDERS TO YOU FOR ANY AND ALL DAMAGES, LOSSES AND CAUSES OF ACTION SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OUR SERVICES. YOU ACKNOWELDGE AND AGREE THAT THE LIMITATIONS SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THESE TERMS AND THE SERVICES WOULD NOT BE PROVIDED TO YOU ABSENT SUCH LIMITATIONS. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU IF YOU RESIDE IN SUCH A JURISDICTION. IF ANY PORTION OF THIS LIMITATION OF LIABILITY IS FOUND TO BE INVALID, LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW. YOU AGREE THAT THIS LIMITATION OF LIABILITY REPRESENTS A REASONABLE ALLOCATION OF RISK AND IS A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN COMPANY AND YOU. THE SERVICES WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS.

NOTHING HEREIN SHALL LIMIT THE POTENTIAL PROFESSIONAL LIABILITY OF A PHYSICIAN OR OTHER LICENSED HEALTH CARE PROVIDER ARISING FROM OR RELATED TO MEDICAL SERVICES THAT YOU MAY RECEIVE IN CONNECTION WITH OR CONSEQUENT TO YOUR USE OF THE SERVICES. WE ARE NOT LIABLE TO ANY PERSON OR USER FOR ANY HARM CAUSED BY THE NEGLIGENCE OR MISCONDUCT OF ANY LICENSED MEDICAL PROFESSIONAL OR ANY OTHER PARTY.

When using the Services, information will be transmitted over a medium which may be beyond the control and jurisdiction of Company, its customers and/or its vendors. Accordingly, Company assumes no liability for or relating to the delay, unintended access or disclosure, failure, interruption or corruption of any data or other information transmitted in connection with use of the Services.

16. International Use

Company makes no representation that the Services are appropriate or available for use in locations outside of Canada and the United States, and accessing the Services is prohibited from territories where such Services are illegal. If you access the Services from other locations, you do so at your own initiative and risk and are responsible for compliance with local laws.

17. Governing Law; Dispute Resolution

NOT APPLICABLE TO RESIDENTS OF QUÉBEC

A printed version of these Terms and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

These Terms shall be governed by and construed in accordance with the laws of Ontario and the laws of Canada where they are applicable, without regard to conflict of law principles. Any dispute arising from or relating to the subject matter of this Agreement shall be submitted to the non-exclusive jurisdiction of the courts of the province of Ontario. Notwithstanding the foregoing, each party shall have the right to institute an action in a court of proper jurisdiction for injunctive or other equitable relief.

18. Integration and Severability

These Terms, the Privacy Policy, and any other agreement referenced herein, constitute the entire agreement between you and Company with respect to the Services, and supersede all prior or contemporaneous communications and proposals (whether oral, written or electronic) between you and Company with respect to the Services. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.

19. Miscellaneous

Company shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Company’s reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation (including “line-noise” interference). These Terms are personal to you, and are not assignable, transferable or sublicensable by you except with Company’s prior written consent. Company may assign, transfer or delegate any of its rights and obligations hereunder without consent. Our licensors and Mobile App Providers may be entitled to enforce these Terms as third party beneficiaries; otherwise, there are no other third-party beneficiaries to these Terms. No agency, partnership, joint venture, or employment relationship is created as a result of these Terms. In any action or proceeding to enforce rights under these Terms, the prevailing party will be entitled to recover costs and attorneys’ fees. All notices under these Terms will be in writing and will be deemed to have been duly given when received, if personally delivered or sent by certified or registered mail, return receipt requested; when receipt is electronically confirmed, if transmitted by facsimile or e-mail; or the day after it is sent, if sent for next day delivery by recognized overnight delivery service.
